CERTIFICATE OF UNDERWRITER The undersigned hereby certifies as follows with respect to the sale of $1,320,000 CITY OF SAN MARCOS, TEXAS WATERWORKS AND SEWER SYSTEM REVENUE BONDS, SERIES 1988 (the "Bonds"). 1. The undersigned is the underwriter or the manager of the syndicate of underwriters which has purchased the Bonds from the City of San Marcos, Texas (the "City") at competitive sale. 2. The undersigned and/or one or more other members of the underwriting syndicate, if any, have made a bona fide offering of the Bonds of each maturity to the public. 3. The undersigned understands that the statements made herein will be relied upon by the City in its effort to comply with the conditions imposed by the Internal Revenue Code of 1986 on the exemption of interest on the Bonds from the gross income of their owners.
