<br />shan be in effect, thereafter whi1e this Agreement is in effect, except as may be <br />modified by Annex A or other agreement between the parties, the fees and amounts <br />set forth in MTrust's current fee schedule then in effect for services as Paying <br />Agent/Registrar for municipa1ities, which shaH be supp1ied to the Issuer on or before <br />90 days prior to the c1ose of the Fiscal Year of the Issuer, and shan be effective <br />upon the first day of the foHowing Fiscal Year. <br /> <br />(b) In addition, the Issuer agrees to reimburse MTrust upon its request <br />for an reasonable expenses, disbursements and advances incurred or made by MTrust <br />in accordance with any of the provisions hereof, inc1uding the reasonable <br />compensation and the expenses and disbursements of its agents and counse1. <br /> <br />ARTICLE TWO <br />DEFINITIONS <br /> <br />Section 2.01. Definitions. <br /> <br />For aH purposes of this Agreement, except as otherwise expressly provided or <br />unless the context otherwise requires, the foHowing terms have the roHowing <br />meanings when used in this Agreement: <br /> <br />"Bond" or "Bonds" means any or aH of the Issuer's General Ob1igation Bonds, <br />Series 1988, and issued in the aggregate principal amount of $1,660,000. <br /> <br />"Bond Resolution" means the resolution, order or ordinance of the governing <br />body of the Issuer pursuant to which the Bonds are issued, certified by the Issuer's <br />official attesting officer or any other officer of the Issuer and delivered to MTrust. <br /> <br />"Fiscal Year" means the 12 month period ending September 30 of each year. <br /> <br />"Issuer Request" and "Issuer Order" means a written request or order signed <br />in the name of the Issuer by the presiding officer of the Issuer's governing body or <br />any other authorized representative of the Issuer, and delivered to MTrust. <br /> <br />"Legal Holiday" means a day on which MTrust is required or authorized by <br />app1icable law to be c1osed. <br /> <br />"MTrust Office" means the principal corporate trust office of MTrust <br />presently located at Austin, Texas. MTrust will notify the Issuer in writing of any <br />change in location of the MTrust Office. <br /> <br />"Owner" means a Person in whose name a Bond is registered in the Register. <br /> <br />"Person" means any individual, corporation, partnership, joint venture, <br />association, joint stock company, trust, unincorporated organization or government <br />or any agency or political subdivision of a government. <br /> <br />2430f <br /> <br />-2- <br />
