"City" and "Issuer" mean the City of San Marcos, Texas, and where appropriate, the City <br />Council. <br />"City Council" means the governing body of the City. <br />"Closing Date" means the date of initial delivery of and payment for the Bonds. <br />"Compounded Amount" means, with respect to a Premium Compound Interest Bond, as of <br />any particular date of calculation, the original principal amount thereof plus all interest accrued and <br />compounded to the particular date of calculation. <br />"Compounding Dates" means the dates on which interest is compounded on the Premium <br />Compound Interest Bonds as set forth in the Accretion Table attached to the Pricing Certificate. <br />"Current Interest Bonds" means the Bonds paying current interest and maturing in each of <br />the years and in the aggregate principal amounts set forth in the Pricing Certificate. <br />" Defeasance Securities" means (i) Federal Securities, (ii) noncallable obligations of an agency <br />or instrumentality of the United States of America, including obligations that are unconditionally <br />guaranteed or insured by the agency or instrumentality and that, on the date the City Council adopts <br />or approves proceedings authorizing the issuance of refunding bonds or otherwise provide for the <br />funding of an escrow to effect the defeasance of the Bonds are rated as to investment quality by a <br />nationally recognized investment rating firm not less than "AAA" or its equivalent, (iii) noncallable <br />obligations of a state or an agency or a county, municipality, or other political subdivision of a state <br />that have been refunded and that, on the date the City Council adopts or approves proceedings <br />authorizing the issuance of refunding bonds or otherwise provide for the funding of an escrow to <br />effect the defeasance of the Bonds, are rated as to investment quality by a nationally recognized <br />investment rating firm no less than "AAA" or its equivalent, and (iv) any other then authorized <br />securities or obligations under applicable State law that may be used to defease obligations such as <br />the Bonds. <br />"Depository" means one or more official depository banks of the City. <br />"DTC" means The Depository Trust Company, New York, New York and its successors and <br />assigns. <br />"DTC Participant" means securities brokers and dealers, banks, trust companies, clearing <br />corporations, and certain other organizations on whose behalf DTC was created to hold securities <br />to facilitate the clearance and settlement of securities transactions among DTC Participants. <br />"Escrow Agent" means The Bank of New York Mellon Trust Company, N.A., Dallas, Texas <br />or any successor escrow agent under the Escrow Agreement. <br />San Marcos GORB 2010 - Delegated: Ordinance A'2 <br />
