<br />-6- <br /> <br />terminated by either party hereto giving written notice to the other <br />party hereto ninety (90) days prior to the termination date of the then <br />current term of this Agreement. <br /> <br />SECTION 7--LAWS GOVERNING AGREEMENT <br /> <br />This Agreement shall be construed and enforced according to the laws of <br />the state of Texas. <br /> <br />SECTION 8--AGREEMENT COUNTERPARTS <br /> <br />This Agreement may be executed in any number of copies, each of which <br />shall be deemed an original, and said copies shall constitute but one <br />and the same instrument. <br /> <br />SECTION 9--MODIFICATION OF AGREEMENT <br /> <br />This Agreement and any attachments thereto constitute the entire <br />Agreement between the parties hereto. Changes in this Agreement or in <br />any attachment thereto may be made by mutual agreement between the <br />Administrator and the Employer. Any such change or amendment must be <br />in writing and signed by the parties hereto prior to becoming <br />effective. <br /> <br />SECTION 10--TERMINATION OF AGREEMENT <br /> <br />A. <br /> <br />If any state or other jurisdiction enacts a law which prohibits <br />the continuance of this Agreement or the existing law is <br />interpreted to prohibit the continuance of this Agreement, the <br />Agreement shall terminate on the date required by such law or <br />interpretation or the termination date of this Agreement if <br />terminated according to the terms herein, whichever is sooner. <br /> <br />B. <br /> <br />In the event that the Administrator fails to perform its duties <br />hereunder in a reasonable and competent manner, the Employer shall <br />give written notice to the Administrator of the existence of any <br />defaul t in the performance of its duties and thereafter, the <br />Administrator shall have fifteen (15) calendar days to correct <br />such default. In the event the Administrator fails to correct <br />such default the Employer may terminate this Agreement at any time <br />after said fifteen (15) day period by giving the Administrator <br />written notice of termination, and reason therefore, not less than <br />thirty (30) calendar days following the date said notice is <br />received by the Administrator. <br /> <br />In the event the Employer fails to perform its duties and <br />responsibilities under Section 2, Financial Arrangements or <br />Section 4, Administrative Fees, the Employer will have fifteen <br />(15) days from date of receipt of written notice of the default to <br />correct such default. If the Employer does not correct such <br />default within said fifteen (15) days, the Agreement will be <br />deemed to have teminated on the date of receipt by Employer of the <br />aforementioned notice of default. The Administrator will not be <br />responsible for performing any duties of this Agreement <br />thereafter. <br /> <br />C. <br />
