<br />Section 6.08. <br /> <br />Entire Agreement. <br /> <br />This Agreement and the Bond Resolution constitute the entire <br />agreement between the parties hereto relative to the Bank acting as <br />Paying Agent/Registrar and if any conflict exists between this Agreement <br />and the Bond Resolution, the Bond Resolution shall govern. <br /> <br />Section 6.09. <br /> <br />Counterparts. <br /> <br />This Agreement may be executed in any number of counterparts, each <br />of which shall be deemed an original and all of which shall constitute <br />one and the same Agreement. <br /> <br />Section 6.10. <br /> <br />Termination. <br /> <br />This Agreement will terminate on the date of final payment by the <br />Bank issuing its checks for the final payment of principal and interest <br />of the Securities. <br /> <br />This Agreement may be earlier terminated upon 60 days written notice <br />by either party. <br /> <br />Section 6.11. <br /> <br />Governing Law. <br /> <br />This Agreement shall be construed in accordance with and governed by <br />the laws of the State of Texas. <br /> <br />This proposal is submitted in duplicate originals. When accepted by <br />the Issuer it will constitute the entire agreement between Issuer and the <br />undersigned for the purpose and considerations herein specified.
