<br />-4- <br /> <br />(a) The City Council reserves the right to regulate, by <br />ordinance, all Company charges for provision of basic cable <br />service including multiple tiers of basic cable service, and rates <br />for the initial installation or the rental of one (1) set of the <br />minimum equipmpent which is necessary for the subscriber's receipt <br />of basic cable service. <br /> <br />(b) At the time of entering into an agreement to <br />provide any cable service or other service to a subscriber and at <br />least once a year thereafter, a cable operator shall provide <br />notice in the form of a separate, written statement to such <br />subscriber which clearly and conspicuously informs the subscriber <br />of: <br /> <br />(1) the nature of personally identifiable <br />information collected or to be collected with respect to the <br />subscriber and the nature of the use of such information~ <br /> <br />(2) the nature, frequency and purpose of any <br />disclosure which may be made of such information, including an <br />identification of the types of persons to whom the disclosure may <br />be made~ <br /> <br />(3) the period during which such information <br />be maintained by the cable operator~ and, <br /> <br />will <br /> <br />(4) the times and place at which the subscriber <br />may have access to such information. <br /> <br />SECTION 11. Approval of Transfer: The written approval by <br />ordinance of the council shall be secured by Company before it may <br />transfer or assign the franchise hereby granted, or any of the <br />rights or privileges included within the franchise, or any <br />significant portion of its plant or system. Any successor or <br />assignee of Company shall be bound by all the duties, obligations, <br />and conditions of the franchise. Such transfer or assignment will <br />be discussed only upon the filing with the city Secretary of an <br />instrument duly executed by the assignee agreeing to be so bound. <br />The City will not unreasonably withhold approval of a transfer. <br /> <br />SECTION 12. Payment of Gross Receipt Taxes to City: <br />Within thirty (30) days following the close of each contract year, <br />Company shall pay to the City a sum equal to sixty cents per month <br />per unit or a cash sum of $900, whichever is greater. <br /> <br />SECTION 13. Duration of Grant: The authority and rights <br />herein granted shall be in full force immediately upon the arrival <br />of the effective date of this grant, as hereinafter shown, and <br />shall continue in force and effect for a term of fifteen (15) <br />years after the effective date hereof. The authority may be <br />terminated by City if Company should fail or cease to furnish <br />cable services contemplated herein. If Company should fail to <br />comply with any provisions of this grant or default in any of its <br />obligations and shall fail within thirty (30) days after written <br />notice from City to correct such fault, non-compliance or breach, <br />City may, at its option, forthwith terminate in whole or in part, <br />Company's rights hereunder, and require Company to remove all of <br />Company's equipment installed in public rights of way in City. If <br />Company should fail to remove any of said equipment, City shall <br />have the right to remove it at the cost and expense of Company. <br /> <br />The Company shall have the right to terminate the cable <br />services contemplated herein and all of its obligations hereunder <br />after thirty (30) days notice to its customers and to the City. <br /> <br />If the Company, at any time, offers the cable television <br />signal distribution system for sale, and receives a bona fide and <br />acceptable offer for the purchase of the system, the company shall <br />advise the City of the offer. The City shall then have ninety <br />(90) days from the date of such notification to the City in which <br />
