The Authority is a conservation and reclamation <br />district and political subdivision of the State of Texas duly organized, validly <br />existing and in good standing under the laws of the State, with the full legal <br />right, power and authority to enter into and perform its obligations under the <br />Service Contract. <br />Due Authorization and Binding Obligation. This Service Contract has <br />been duly authorized, executed and delivered by all necessary corporate action <br />of the Authority and constitutes a legal, valid and binding obligation of the <br />Authority, enforceable against the Authority in accordance with its terms, <br />except to the extent that its enforceability may be limited by law, including <br />bankruptcy, insolvency or other similar laws affecting creditors' rights from <br />time to time in effect and by equitable principles of general application. <br />
