<br />City of San Marcos/Guadalupe-Blanco River Authority <br />Water Treatment Facilities <br /> <br />Service Contract <br />Article I - Defmitions and Interpretation <br /> <br />(K) Interpolation. If any calculation hereunder is to be made by reference to <br />a chart or table of values, and the reference calculation falls between two stated values, the <br />calculation shall be made on the basis of linear interpolation. <br />(L) Good Industry Practice and Good Engineering and Construction Practice. <br />Good Industry Practice and Good Engineering and Construction Practice shall be utilized <br />hereunder, among other things, to implement, and in no event displace or lessen the <br />stringency of, the Contract Standards. In the event that, over the course of the Term of this <br />Service Contract, Good Industry Practice or Good Engineering and Construction Practice <br />evolves in a manner which in the aggregate materially and adversely affects the cost of <br />compliance therewith by the Authority, the Authority shall be relieved of its obligation to <br />comply with such evolved Good Industry Practice and Good Engineering and Construction <br />Practice (but not Good Industry Practice and Good Engineering and Construction Practice as of <br />the Contract Date) unless the City agrees to adjust the Service Fee on a Cost Substantiation <br />basis to account for such additional costs. Except to the extent that the Authority is relieved of <br />its obligation to comply with such evolved Good Industry Practice or Good Engineering and <br />Construction Practice, as provided above, in no event shall any evolution of Good Industry <br />Practice or Good Engineering and Construction Practice, or any City election to payor not pay <br />any such additional costs, relieve the Authority of its obligations hereunder. <br />(M) Applicability and Stringencv of Contract Standards. The Authority shall <br />be obligated to comply only with those Contract Standards which are applicable in any <br />particular case. Where more than one Contract Standard applies to any particular <br />performance obligation of the Authority hereunder, each such applicable Contract Standard <br />shall be complied with. In the event there are different levels of stringency among such <br />applicable Contract Standards, the most stringent of the applicable Contract Standards shall <br /> <br />govem. <br /> <br />(N) Delivery of Documents in Digital Format. In this Service Contract, the <br />Authority may be obligated to deliver reports, records, designs, plans, drawings, specifications, <br />proposals and other documentary submittals in connection with the performance of its duties <br />hereunder. The Authority agrees that all such documents shall be submitted to the City both <br />in printed form (in the number of copies indicated) and, at the City's request, in digital form. <br />Electronic copies shall consist of computer readable data submitted in any standard <br />interchange format which the City may reasonably request to facilitate the administration and <br />enforcement of this Service Contract. <br />(0) Severability. If any clause, provision, subsection, Section or Article of <br />this Service Contract shall be ruled invalid by any court of competent jurisdiction, then the <br />parties shall: (1) promptly negotiate a substitute for such clause, provision, subsection, <br /> <br />19 <br />
