<br />City of San Marcos/Guadalupe-Blanco River Authority Service Contract <br />Water Treatment Facilities Operations Article VIII - Maintenance, Repair and Replacement <br /> <br />SECTION 8.4. <br /> <br />COMPUTERIZED MAINTENANCE MANAGEMENT SYSTEM. <br /> <br />The Authority shall maintain, repair and replace, and if necessary, upgrade, as appropriate <br />throughout the Term, a computerized maintenance management system capable of providing a <br />record of repair and replacement of the Facilities; scheduling, carrying out, monitoring and <br />controlling predictive, preventive and corrective maintenance programs; monitoring routine <br />operations within the Facilities; issuing work orders; maintaining a spare parts inventory; and <br />issuing exception, equipment status and repair priority reports. The maintenance <br />management system shall constitute part of the Facilities, and shall be modified as and when <br />appropriate during the Term to take account of removals from and additions to the Facilities. <br />The Authority shall utilize the computerized maintenance management system to provide the <br />City with documentation which allows it to monitor compliance by the Authority with its <br />maintenance obligations hereunder. The Authority shall permit all electronic data to be <br />replicated and provided to the City. The Authority and the City agree to cooperate to identify <br />methods to provide the City with real time, continuous computer access to such records and <br />data through their respective information systems. <br /> <br />SECTION 8.5. <br /> <br />MAINTENANCE. REPAIR AND REPLACEMENT PLAN. The <br /> <br />Operation and Maintenance Manual or a similar document shall incorporate a maintenance, <br />repair and replacement plan that includes the Schedule set forth in Appendix 3. The Authority <br />shall adhere to the plan, except where it can demonstrate to the City that changes are <br />reasonable. The timing and extent of maintenance, repair and replacement activities <br />performed by the Authority hereunder with respect to the Facilities, taken as a whole, shall <br />equal or exceed those activities incorporated in the plan. The Authority shall perform any <br />major and "non-major" maintenance, repair and replacement work which is necessary in order <br />to comply with the Contract Standards. The City's approval for any such maintenance, repair <br />or replacement shall not be required unless it constitutes a Capital Modification, in which <br />event the City shall have the approval rights set forth in Article IX. The obligations of the <br />Authority under this Article are intended to assure that the Facilities are fully, properly and <br />regularly maintained, repaired and replaced in order to preserve their long-term reliability, <br />durability and efficiency. <br />SECTION 8.6. DISPOSAL OF SURPLUS EQUIPMENT. The Authority may, <br />with the approval of the City, remove from the Facilities and dispose of or sell, in accordance <br />with Applicable Law, equipment constituting part of the Facilities that is unused or obsolete <br />and no longer needed. All proceeds from any sale, net of the Authority's actual expenses <br />related to the sale, shall be promptly paid to the City. The Authority shall not store or stockpile <br />at the Facilities any such surplus equipment for an excessive period of time. <br />SECTION 8.7. WARRANTIES. During the Term of this Service Contract, the <br />Authority shall be responsible for meeting the City's maintenance obligations under all <br /> <br />59 <br />
