<br />City of San Marcos/Guadalupe-Blanco River Authority <br />Water Treatment Facilities <br /> <br />Service Contract <br />Article X - Service Fee and Other Pavrnents <br /> <br />provided for under Article VII or any other provision hereof (3) any indemnification payments <br />owed by the Authority to the City pursuant to Section 12.3, plus or minus (4) any other <br />increase or reduction in the Service Fee provided for under any other Article of this Service <br />Contract. <br /> <br />SECTION 10.6. ADJUSTMENT FACTORS. (A) Service Fee Adiustment Factor. <br />The "Service Fee Adjustment Factor" (AFn) for any particular Contract Year shall be set once <br />per year on the anniversary of the Commencement Date and determined as follows: <br /> <br />AFn <br /> <br />ECIn-l <br /> <br />ECIn-2 <br /> <br />PPIn-l <br /> <br />PPIn-2 <br /> <br />1 + (0.6 (ECIn-l - ECIn-2) 7 ECIn-2) + (0.4 (PPIn-l - PPIn-2) 7 PPIn-2) <br />where, <br />The average of the most recent four (4) quarterly ECI values <br />that are published as fmal values and available on the latest <br />anniversary date of the Commencement Date. <br />The average of the four (4) quarterly ECI values which <br />immediately proceed the four (4) ECI values utilized in the <br />then-current ECIn-1 amount. <br />The average of the most recent twelve (12) monthly PPI values <br />that are published as final values and which are available on <br />the latest anniversary date of the Commencement Date. <br />The average of the twelve (12) monthly PPI values that <br />immediately precede the twelve values utilized in the then- <br />current PPIn-l amount. <br /> <br />(B) Chemical Cost Adiustment Factor. The "Chemical Cost Adjustment <br />Factor" (CAn) for any particular Contract Year shall be set once per year on the anniversary of <br />the Commencement Date and determined as follows: <br /> <br />CAn <br /> <br />ICIn-l <br /> <br />ICIn-2 <br /> <br />1 + ((ICIn-l - ICIn-2) 7 ICIn-2) <br />where, <br />The average of the most recent twelve (12) monthly ICI values <br />that are published as final values and which are available on <br />the latest anniversary date of the Commencement Date. <br />The average of the twelve (12) monthly ICI values that <br />immediately precede the twelve values utilized in the then- <br />current ICIn-l amount. <br /> <br />SECTION 10.7. BILLING AND PAYMENT. (A) Billing. The City shall pay the <br />Service Fee in monthly installments in an amount equal to the sum of (1) one-twelfth of the <br />annual Base Fee; (2) any monthly Pass-Through Costs; (3) any Extraordinary Items determined <br />on a monthly basis; (4) one-twelfth of any Extraordinary Items determined on an annual basis; <br />and (5) any adjustments, plus or minus, to reconcile any prior monthly Extraordinary Items or <br />Pass-Through Cost payments. Any overpayment from prior months shall be credited against <br />the monthly Service Fee payment. <br />(B) Payment. The Service Fee for each month shall be on account of the <br />Contract Services rendered during the prior month. The Authority shall provide the City with <br />an invoice by the fifteenth day of each month which sets forth the monthly portion of the <br />Service Fee due for the prior month and documentation or information as the City may <br /> <br />69 <br />
