<br />D. Review of Invoices. The Board will review monthly invoices submitted to the City by <br />GMG under this Agreement for conformity with the budget approved by the City Council. Each <br />invoice submitted by GMG will be subject to approval by the Board. <br />SECTION 3. OBLIGATIONS OF THE CITY <br />A. Payments. The City will pay to GMG an amount not to exceed $238,295 in each ofthe <br />first two years of this Agreement for GM G' s services provided under this Agreement. The City will <br />make payments to GMG as follows: <br />1. GMG will submit to the City and to the Board no later than the 15th day of each month an <br />itemized invoice describing GMG' s expenditures under this Agreement for the previous <br />month for review and approval by the Board. Each invoice will be in an amount that does <br />not exceed $19,857.92. <br />2. The Board will approve, disapprove, or approve with modifications each invoice within <br />15 days of receipt from GMG. GMG may resubmit, with modifications or corrections, an <br />invoice that is disapproved by the Board. The Board may request additional information <br />from GMG related to invoices. The City will pay to GMG the amount of each approved <br />invoice within 10 days of its approval by the Board. <br />B. Performance Reviews. The City, through the Board and the City Council, will conduct <br />periodic performance reviews of GMG's services under this Agreement in accordance with the <br />performance measures and performance review plan approved by the City Council. These reviews <br />may be conducted jointly between the Board and the City Council. <br />C. Funding from Hays County. Hays County may make periodic contributions of funding <br />to the City towards the economic development services provided by GMG under this Agreement. In <br />the event Hays County makes such a contribution, The City Manager will notify the Board and GMG <br />of each such contribution, and GMG will, in consultation with the Board, develop and submit <br />proposed modifications to the then-current program, performance measures, performance evaluation <br />plan, and budget, to account for the County contribution, to the City Council for review and <br />approval. <br /> <br />SECTION 4. TERM <br /> <br />The initial term ofthis Agreement will commence and become effective on October 1,2005, <br />and will terminate on September 30,2007.
