SectIOn 1202 Annual Reports (a) The CIty shall provIde annually to each NRMSIR and any SID, wlthm SIX months after the end of each fiscal year ending after the date of Issuance of the CertIficates, financIal mformation and operatmg data with respect to the CIty ofthe general type mcluded m the final OfficIal Statement authonzed by Section 7 01(b) of thIS Ordmance, bemg the mformatIOn described m ExhibIt A hereto Any financIal statements so to be provided shall be (1) prepared m accordance wIth the accountmg prmclples described m ExhibIt A attached hereto, or such other accountmg pnnclples as the CIty may be requued to employ from tIme to time pursuant to state law or regulatIOn and (2) audIted, If the CIty commIssIOns an audit of such statements and the audIt IS completed within the period dunng which they must be provIded. If the audit of such financIal statements IS not complete wlthm such penod, then the CIty shall provide unaudIted financIal statements by the reqUIred tIme and shall provIde audIted financIal statements for the applIcable fiscal year to each NRMSIR and any SID, when and If the audIt report on such statements becomes available (b) If the CIty changes ItS fiscal year, It will notlfy each NRMSIR and any SID of the change (and of the date of the new fiscal year end) pnor to the next day by whIch the CIty otherwIse would be reqUIred to provIde financIal mformatIOn and operatmg data pursuant to thIS SectIOn. (c) The financIal informatIOn and operatmg data to be provided pursuant to thIS Section may be set forth m full m one or more documents or may be mcluded by specIfic reference to any document (includmg an offiCial statement or other offermg document, If It IS available from the MSRB) that theretofore has been provIded to each NRMSIR and any SID or filed WIth the SEC SectIOn 12 03 Matenal Event Notlces (a) The CIty shall notIfy any SID and each NRMSIR, m a timely manner, of any of the followmg events with respect to the CertIficates, If such event IS matenal wlthm the meanmg of the federal secuntles laws (i) Pnnclpal and mterest payment delInquencIes, (11) Non-payment related defaults, (m) Unscheduled draws on debt servIce reserves reflectmg financIal dIfficultIes, (iv) Unscheduled draws on credIt enhancements reflecting financIal difficultIes, (V) Substltutlon of credIt or lIqUIdIty provIders, or theIr faIlure to perform, (vi) Adverse tax opmIOns or events affectmg the tax-exempt status of the CertIficates; (V11) ModIficatIOns to nghts of holders of the Certificates, (vm) CertIficate calls, (ix) Defeasances, San Marcos CTRCO 2007 Ordinance 31
