By accepting the appomtment as Paymg Agent/RegIstrar, the Paying Agent/Registrar IS deemed to have agreed to the provisions of this Ordinance and that it will perform the dutIes and functions of Paying AgentJRegistrar prescribed hereby Section 5 07 Delivery of Records to Successor If a Paying Agent/RegIstrar is replaced, such Paying Agent/Registrar, promptly upon the appointment of the successor, will deliver the Register (or a copy thereof) and all other pertment books and records relating to the Certificates to the successor Paying Agent/RegIstrar ARTICLE VI FORM OF THE CERTIFICATES Section 6.01 Form Generally (a) The Certificates, mcluding the RegIstratIOn Certificate ofthe Comptroller of Public Accounts of the State of Texas, the Certificate of the Paying Agent/Registrar, and the Assignment form to appear on each ofthe Certificates, (i) shall be substantially in the form set forth m this Article, with such appropnate insertions, omissions, substItutions, and other vanations as are permItted or required by this Ordinance, and (ii) may have such letters, numbers, or other marks of identification (includmg identifying numbers and letters of the Committee on Uniform Securities Identification Procedures of the American Bankers Association) and such legends and endorsements (including any reproductIOn of an opinion of counsel) thereon as, consistently herewith, may be determined by the City or by the officers executing such Certificates, as evidenced by their execution thereof. (b) Any portion of the text of any Certificates may be set forth on the reverse side thereof, with an appropriate reference thereto on the face of the Certificates. (c) The Certificates shall be printed, lithographed, or engraved, and may be produced by any combinatIon of these methods or produced m any other manner, all as determmed by the officers executing such Certificates, as evidenced by their execution thereof, except that the Initial Certificate submitted to the Attorney General of Texas, the definitive Certificates delIvered to DTC and any temporary Certificates may be typewritten or photocopied or otherwise produced, Section 6 02. Form of Certificates. The form of Certificates, including the form of the Registration Certificate of the Comptroller of PublIc Accounts of the State of Texas, the form of Certificate ofthe Paying Agent/Registrar and the form of Assignment appearing on the Certificates, shall be substantially as follows San Marcos CTRCQ 2005 Ord 12-07-2005 16
