<br />PROFESSIONAL SERVICES AGREEMENT

<br />STATE OF TEXAS §
<br />COUNTY OF HAYS §

<br />THIS AGREEMENT, made and entered into this day by and between the
<br />City of San Marcos, a Municipal Corporation, organized and existing
<br />under the laws of Texas and situated in Hays County, Texas, acting
<br />through its City Manager, hereunto duly authorized, and hereinafter
<br />referred to as the OWNER, and UAM, Inc. of San Antonio, Texas,
<br />hereinafter referred to as the PROFESSIONAL.

<br />WITNESSETH, that whereas, the OWNER intends to provide current and
<br />accurate mapping for use by the OWNER, and the citizens-at-large in the
<br />preparation of land use planning, drainage studies and drainage system
<br />designs, transportation system studies and designs, facilities related
<br />studies, correlation of control points with Benchmarks of the Federal
<br />Emergency Management Agency and designs and other uses; and
<br />
<br />FURTHER, that the OWNER has determined that aerial photography and
<br />mapping services are needed to support is computerized mapping project
<br />and desires to gain experience in the direct digitizing of information
<br />from aerial steroscopic models; and
<br />
<br />WHEREAS, the PROFESSIONAL, Photogrammetrists/Cartographers, has
<br />the professional abilities to undertake the services associated with
<br />the completion of aerial topographic and planimetric coverage, delivery
<br />of topographic and planimetric products in a digital format as dictated
<br />by OWNER, the establishment of required field control,
<br />aerotriangulation with adjustments to horizontal and vertical data,
<br />photogrammetric compilation, planimetric and topographic map sheet
<br />finalization, and photographic laboratory services in accordance with
<br />the best professional practices and meeting, in all respects, the
<br />requirements of the National Map Accuracy Standards.

<br />NOW, THEREFORE, the OWNER and the PROFESSIONAL in consideration of
<br />the mutual covenants herein, agree in respect to the performance of the
<br />professional 1986 Aerial Survey and Mapping Services (the PROJECT), by
<br />the PROFESSIONAL and the payment for these services by the OWNER, as
<br />set forth hereinafter.

<br />SECTION I
<br />
<br />EMPLOYMENT OF THE PROFESSIONAL
<br />
<br />The OWNER agrees to employ the PROFESSIONAL and the PROFESSIONAL
<br />agrees to perform the PROJECT services as stated in the Request For
<br />Proposal Photogrammetric Mapping Services City of San Marcos, Texas,
<br />and the Proposal For Photogrammetric Mapping Services, dated February
<br />6, 1986, contained in Exhibit A attached hereto and incorporated by
<br />reference herein for all intents and purposes, and this Agreement.
<br />However, in the event of conflict, dispute, or discrepancy between the
<br />provisions of said Exhibit and the provisions of this Agreement, the
<br />more burdensome and/or restrictive provisions shall govern and control
<br />against the PROFESSIONAL. After certain phases of services have been
<br />rendered by the PROFESSIONAL, the OWNER agrees to pay the PROFESSIONAL
<br />compensation as stated in the Sections to follow:

<br />
<br />SERVICES OF THE PROFESSIONAL
<br />
<br />Exhibit A is a proposal submitted by the PROFESSIONAL dated
<br />February 6, 1986. Exhibit A specifies the services to be performed and
<br />the payment for such services and is hereby accepted as a mutually
<br />agreeable basis for the performance of the services. The services to
<br />be performed shall be accomplished in phases or portions if required
<br />and authorized in writing by the OWNER.
