88 CONTRACT FOR ENGINEERING SERVICES THIS CONTRACT, made and executed in duplicate this ~ day of March , 19JL6 by and between the City of San Marcos, Texas, hereinafter called the City, party of the first part, and Black & Veatch, Engineers-Architects, of Kansas City, Missouri, hereinafter called the Engineers, party of the second part; WITNESSETH: That in consideration of the mutual covenants herein con- tained, the City hereby agrees to employ the Engineers to perform the services hereinafter outlined in connection with the potential acquisition by the City of the electric distribution system serving the City and environs from the current owner, Lower Colorado River Authority (LCRA) and agrees to pay them for such services according to the schedule of fees herein contained. SECTION I - SCOPE OF WORK The services which the Engineers agree to perform are to consist of four phases titled as follows and individually described hereinbelow: Phase I - Preliminary Feasibility Study Phase II - Negotiations Related to Purchase Phase III - City Approval of Purchase Phase IV - Financing of Purchase It is recognized that the City plans to enter into a contract for con- sulting services related to the same four phases of work with Fred Saffer Utility Consultants, Inc. of Orlando, Florida, hereinafter called Saffer. The intent of all parties, that is, the City, the Engineers, and Saffer, is that the services of the Engineers and Saffer are to be of a cooperative nature, complementing each other in assisting City consideration and accom- plishment of the potential acquisition by the City of the electric distri- bution system serving the City. PHASE I - PRELIMINARY FEASIBILITY STUDY 1. Meet with City personnel to discuss policy and to gather recent back- ground information and material such as correspondence with LCRA. 2. Make a bri ef inspection of the electric distribution system and related general plant to develop a working knowledge of the current system and the condition of properties. 3. Meet with LCRA for purposes of data collection and to discuss and clarify details of the offer made to the City for the sale and opera- tion of the distribution system. Initial information to be acquired for at least the past three fiscal years includes: number of custo- mers served, sales and revenues by rate classes, detailed operating expenses, and routine and major construction expenditures. Collect information on construction and operating budgets, forecasts, and planning to the extent available. 1
