<br /> -6- <br />representatives to the other party to this Agreement and to the <br />partners, successors, assigns and legal representatives of such <br />other party with respect to all covenants of this Agreement. <br />Neither the Owner nor the Architect shall assign, sublet or <br />transfer any interest in this Agreement without the written <br />consent of the other. <br /> ARTICLE 11 <br /> EXTENT OF AGREEMENT <br />11.1 This Agreement represents the entire and integrated <br />agreement between the Owner and the Architect and supersedes all <br />prior negotiations, representations or agreements, either written <br />or oral. This Agreement may be amended only by written instrument <br />signed by both Owner and Architect. <br /> ARTICLE 12 <br /> BASIS OF COMPENSATION <br />The Owner shall compensate the Architect for the services <br />provided, in accordance with Article 5, Payments to the Architect, <br />and the other Terms and Conditions of this Agreement, as follows: <br />12.1 BASIC COMPENSATION <br />12.1.1 FOR BASIC SERVICES, as described in Article 1, Basic <br />Compensation shall be computed as follows: <br /> A fixed fee of Five Thousand Twenty-Two Dollars ($5,022.00). <br />12.2 COMPENSATION FOR ADDITIONAL SERVICES <br />12.2.1 FOR ADDITIONAL SERVICES OF THE ARCHITECT, as described <br />in Paragraph 1.2, Compensation shall be computed as follows: <br /> An amount equal to the total hours expended by Architect <br /> and/or his employees times their hourly billing rates for <br /> their respective job classifications as set forth <br /> hereinbelow: <br /> Principal: $46.00/hour <br /> Designer: $26.00/hour <br /> Draftsman: $18.00/hour <br /> Secretary: $18.00/hour <br />
