<br />9. Surrender Of Leased Premises:
<br />
<br />Lessee will at the expiration of the term hereof or upon any
<br />sooner termination hereof, without notice, quit ana deliver up
<br />said premises to Lessor peaceably, quietly and in as good order
<br />and condition as now exists, reasonable use and wear thereof
<br />excepted.
<br />
<br />10. Holding Over:
<br />
<br />In the event Lessee shall hold over and remain in possession of
<br />the premises herein leased after the expiration of this Agreement
<br />without any written renewal thereof, such holding over shall not
<br />be deemed to operate as a renewal or extension of this Agreement
<br />but shall only create a tenancy from month to month which may be
<br />terminated at any time by the Lessor.
<br />
<br />11. Nondiscrimination:
<br />
<br />The lessee shall not discriminate against any employee or
<br />applicant for employment because of race, religion, sex, color,
<br />national origin, age or physical handicap. The Lessee shall
<br />incluae a similar provision in any subcontract it may enter J.nto
<br />in connection with this Agreement.
<br />
<br />12. Additional payments By lessee:
<br />
<br />Lessee shall pay, in addition to the rental hereinaDove specified,
<br />all permit fees, license fees, and any and all taxes required by
<br />law and/or by ordinances of the City of San Marcos, Texas,
<br />incurred or occasioned by Lessee's installation, use, operation,
<br />maintenance and/or removal of Lessee's equipment at, on, or from
<br />the leased premises.
<br />
<br />13. Assignments:
<br />
<br />Lessee shall have the right to assign this lease with Lessor's
<br />consent which shall not be unreasonably withheld to any
<br />corporation which controls, is controlled by or is under common
<br />control with lessee, to any corporation resulting froIDmerger or
<br />consolidation with Lessee, to any partnership in which lessee, the
<br />general partner of lessee or any corporation which controls, is
<br />controlled by or is under common control with the general partner
<br />of lessee is a general partner, or to any person or entity which
<br />acquired substantially all of Lessee's assets, provided that such
<br />assignee assumes in full all of Lessee's obligations unaer the
<br />Lease.
<br />
<br />14. utilities:
<br />
<br />Lessee shall have all electricity for light, power, and service
<br />used by it metered in its own name ana shall promptly pay all
<br />bills therefor.
<br />
<br />15. Lessor's Access To leased premises:
<br />
<br />Lessor shall at all times have access to the leased premises.
<br />
<br />16. Indemnification:
<br />
<br />Lessee hereby agrees to protect, defend, indemnify and hold
<br />lessor, and its employees, agents, officers and servants free and
<br />harmless from any and all losses, claims, liens, demands and
<br />causes of action of every kind and character including, but not
<br />limited to, the amounts of judgments, consequential and/or
<br />incJ.dental damages, penalties, interests, court costs, legal fees,
<br />ana all other expenses incurrea by lessor arising in favor of any
<br />party, including claims, liens, debts, aamages and expenses
<br />resulting from personal injuries, including employees of Lessor,
<br />death or damages to property (including property of lessor) and
<br />without limitation by enumeration, all other claims or demands of
<br />every character occurring or in anywise incident to, in connection
<br />with or arising as a result of this Agreement, except those
<br />arising or resulting from the willful misconduct of Lessor or its
<br />agents, employees and contractors. Lessee agrees to investigate,
<br />handle, respond to, provide defense for and defend any SUCh
