61 STATE OF TEXAS ASSIGNMENT OF LEASE COUNTY OF HAYS Whereas, a lease dated January 27, 1981 by and between the City of San Marcos as Lessor and James W. Miller, dba Miller Air Sports, Inc. , as Lessee was entered into concerning the property located at San Marcos Municipal Airport, Caldwell County, Texas and said lease was subsequently amended on May 29, 1986 (hereinafter referred to as the "Lease"), and WHEREAS, James W. Miller, also hereJ.nafter referred to as AssJ.gnor, desires to sell and convey his interest in the leasehold incl udJ.ng the above referenced Lease, as amended, to the following Party: Hearne Aviation Company, Inc., a Texas corporation, Rex P. Stall ing s Sr., PresJ.dent, hereinafter referred to as Assignee; NOW, THEREFORE, in contemplation of said transfer, for good dnd valuable consJ.deration, Assignor hereby assigns, transfers and delivers all of his right, tit.le or interest J.n and to the above described premJ.ses and Lease, as amended, to Assignee. It is hereby agreed and understOOd by and among the Parties hereto that: 1. Assignee agrees to accept said Lease, as amended, pay all rents and punctually perform all of Assignor's obligatJ.ons under said Lease, as amended, accruing on and after the date of delivery of possession to the Assignee as contained herein. Assignee further agrees to indemnJ.fy and save harmless the Assignor from any breach of Assignee's obligations hereunder. 2. Assignor shall deliver possession of leased premises to Assignee at the time of payment by Assignee to Assignor of that amount previously agreed upon between the two partJ.es, time being of the essence. All rents and other charges accrued under the Lease prior to said date shall be fully paid by Assignor, and thereafter by the Assignee.
