<br /> operations under this Contract, whether performed by it or its agents <br /> or employees. Before commencing the Work, Second Party shall furnish <br /> to First Party certificate or certificates in form satisfactory to <br /> First Party, showing that it has complied with this paragraph. All <br /> certificates shall provide that the policy shall not be changed or <br /> cancelled until at least thirty (30) days' written notice shall have <br /> been given to First Party. Kinds and amounts of insurance required are <br /> as follows: <br /> Liability Insurance: Professional Liability Insurance in an <br /> amount not less than $500,000.00 per claim and $1,000,000.00 aggregate <br /> to protect Second Party and its agents and employees from claims which <br /> may arise from services rendered under this Contract, whether such <br /> services are rendered by Second Party or by any of its agents or by <br /> anyone employed by either. Second Part y, its successors and assigns, <br /> hereby agrees to maintain the same type and amounts of professional <br /> liability coverage(s) to cover Second party's liabil ity for as long as <br /> it is reasonably available after the completion of this contract or <br /> until the expiration of applicable statute(s) of limitations, whichever <br /> first occurs. <br /> Insurance carriers insuring Second Party in accordance with this <br /> Contract which are not rated by the most recent edition of Best's Key <br /> Rating Guide, Property-Casualty, published by A.M. Best Company, or <br /> insurance carriers having a rating lower than A-XIII as shown in the <br /> most recent edition of said book, will not be approved by First Party <br /> unless a guaranty bond or reinsurance acceptable to First Party from a <br /> carrier rated A-XIII or higher guaranteeing payment of any and all <br /> claims against Second Party is furni.hed to First Party. <br /> The stated limits of insurance required by this Paragraph are <br /> MINIMUM ONLY and it shall be Second Party's responsibility to determine <br /> what limits are adequate. These minimum limits may be basic policy <br /> limits or any combination of basic limits and umbrella limits. First <br /> party's acceptance of Certificates of Insurance that in any respect do <br /> not comply with the requirements of this Contract does not release <br /> Second Party from compliance herewith. <br /> XI. <br /> In performing this contact, Second Party, its contractors, <br /> subcontractors, successors and assigns, shall comply with all <br /> -4- <br />
