<br /> -6- <br /> Article X. <br /> Assignment and Subletting <br /> 10.1 C.A.D. shall not assign or in any manner transfer this Lease <br /> or any estate or interest in it or sublet the premises or any part of <br /> them without prior written consent of the City, which consent shall not <br /> be unreasonably withheld and the reason for not granting such consent <br /> shall be made in writing to the C.A.D. Consent bY the City to one or <br /> more assignments or Sublettings shall not operate as a waiver of the <br /> City's rights as to any subsequent assignments and sublettings. <br /> Notwithstanding any assignment or subletting, C.A.D. shall at all times <br /> remain fully responsible and liable for the payment of the rent and for <br /> compliance with all of its other obligations under this Lease. <br /> 10.2 In the event of the transfer and assignment by the City of <br /> its interest in this Lease and in the building to a person, firm or <br /> corporation, assuming the City's obligations under this Lease, the City <br /> shall thereby be released from any further obligations and C.A.D. <br /> agrees to look solely to the successor in interest of the City to <br /> enforce i-ts rights and interests under this Lease or applicable law. <br /> Article XI. <br /> Events of Default and Remedies <br /> 11.1 The following events shall be deemed to be events of default <br /> by C.A.D. under this Lease: <br /> ( 1) C.A.D. shall fail to pay when due any installment of <br /> rent or any other sums or charges due under this Lease. <br /> ( 2) C.A.D. shall fail to comply with any term, provision, or <br /> covenant of this Lease, other than the payment of rent, and shall nOT. <br /> cure such failure within 30 days after written notice. <br /> ( .3) C.A.D. shall desert or vacate any substantial portion of <br /> the premise. <br /> Upon the occurrence of any event of default, the City shall have <br /> the option to pursue any remedy or remedies permitted by law without <br /> any notice or demand whatsoever, including the following: <br /> Enter upon the leased premises without being llable for <br /> prosecution or any claim for damages, and do whatever C.A.D. is <br /> obligated to dO under the terms of this Lease: and C.A..D. agrees to <br /> reimburse the City on demand for any expenses which the City may incur <br />
