<br /> ARTICLE 8 <br /> OWNERSHI P AND USE OF DOCUMENTS <br /> 8.1 Plans, Spec~fications, ana other Contract Documents shall <br /> Decome the property of the ARCHITECT whether the proJect(s) for wh~ch <br /> they are made is executed or not. The OWNER shaLL De perm~ttea to <br /> retain copies, ~ncluding reproduciDle cop~es of draw~ngs ana <br /> specif~cat~ons, of all documents ana materials produced by ARCHITECT ~n <br /> connection w~th this project{s). <br /> 8.2 SuDmiss~on or distribution to meet official regulatory <br /> requirements or for other purposes in connect~on w~th the ProJect is <br /> not to be construed as puDlication ~n derogat~on of the ARCHITECT's <br /> rights. <br /> ARTICLE 9 <br /> TERMINATION OF AGREEMENT <br /> 9.1 Th~s Agreement may be terminated Dy either party upon f~fteen <br /> (15) days. pr~or written notice ShOULd the other party fa~L <br /> suDstantiaLly to perform in accordance with its terms through no fault <br /> of the party ~nit~at~ng the terminat~on. <br /> 9.2 Th~s Agreement may be terminated at will by the OWNER upon at <br /> least fifteen (15) days' prior wr~tten notice to the ARCHITECT. <br /> 9.3 In the event of termination as provided ~n th~s Article, the <br /> ARCHITECT shaLL De compensated for aLl services performed to <br /> term~nation date wh~ch are deemed by OWNER to be in accordance w~th <br /> this Agreement. Such amount shall be paid by the OWNER upon the <br /> ARCHITECT's delivering or otherwise making ava~.laDle to the OWNER, aLL <br /> data, araw~ngs, spec~f~cat~ons, reports, est~mates, summar~es, ana such <br /> other 1nformation ana materials as may have been accumulated oy the <br /> ARCHITECT in performing the serv~ces included ~n this Agreement, <br /> whether completed or in progress. The expense of the reproduct10n of <br /> these items shall be Dorne by the OWNER. <br /> ARTICLE 10 <br /> MISCELLANEOUS PROVISIONS <br /> 10.1 Unless otherw~se specified, this Agreement shaLl De governed <br /> DY the law of the principaL place of Dusiness of the OWNER. <br /> 10.2 Terms in this Agreement shall have the same meanings as those <br /> in the Contract Documents executed Dy the OWNER ana Contractor for th~s <br /> proJect. <br /> -13- <br />
