<br /> 7.10 The representations and warranties set forth in Section <br /> 10.01 and Section 10.02, the obligations and undertakings of CITY <br /> and of LCRA set forth in Articles II, V, VI and VIII shall <br /> expressly survive the Closing and shall remain in effect until the <br /> termination of this Agreement. <br /> ARTICLE VIII <br /> WHOLESALE POWER AGREEMENT AND OPERATING AGREEMENT <br /> 8.01 At the time of Closing of the sale of Properties under <br /> this Agreement, CITY and LCRA shall have entered into a Wholesale <br /> Power Agreement pertaining to the purchase by CITY from LCRA of <br /> electric power and energy, which shall be substantially in the <br /> form set out in an instrument marked as Exhibit l4A, attached to <br /> this Agreement and incorporated at this point by reference. <br /> Additionally, at the time of Closing of the sale of Properties <br /> under this Agreement, LCRA and CITY shall have executed a Side <br /> Letter in the form of Exhibit 14B attached to this Agreement and <br /> incorporated herein by reference. <br /> 8.02 At the time of Closing of the sale of Properties under <br /> this Agreement, CITY and LCRA shall have entered into an Operating <br /> Agreement providing for the retention by CITY of LCRA as Operating <br /> Agent, which shall be substantially in the form set out in an <br /> instrument marked as Exhibit 15A, attached to this Agreement and <br /> incorporated at this point by reference. Additionally, at the <br /> time of Closing of the sale of Properties under this Agreement, <br /> LCRA and CITY shall have executed a Side Letter in the form of <br /> 18. <br />
