2.02 Subject to the conditions set out in this Agreement (including, but not limited to those in Article IV and all exhibits which are attached to or incorporated in this Agreement by reference), LCRA agrees to grant, sell.and convey to CITY on the Closing Date, and CITY agrees to purchase from LCRA on said date, the following: (a) The San Marcos District Electric Distribution System as is, where is [except as specifically excluded herein], which is energized from the 138/12.5 kV Distribution Substations located in and around the City of San Marcos now owned by LCRA and which generally consists without limitation of distribution feeders and lines, secondaries, oil circuit breakers, switches, control panels, meters, transformers, rights of way and appurtenances, said San Marcos District Electric Distribution System being located within the area shown on Exhibit 1 attached to this Agreement. (b) The real property, including all improvements and appurtenances thereon and included within the general plant facilities described in Exhibit 2 attached to this Agreement and incorporated at this point by reference. (c) All personal property included within the general plant facilities consisting without limitation of office furniture, fixtures, equipment, motor vehicles, materials and supplies, as is, where is, of LCRA located in the area shown on Exhibit 1 and being described in detail in the inventory marked as 4.
