<br /> XI!:. SrB:ONTRACTINC: <br /> A. The Contractor shall not subcontract or sublet any portion of this <br /> contract without the prior approval, in writing, of the Engineer. <br /> B. The U.S. DOT may require that it approve any subcontract for personal <br /> or professional services prior to execution and initiation of work <br /> under it. This review may take up to thirty (30) days and shall con- <br /> sider, in part, the following matters: <br /> 1. Determination of the subcontractor's qualifications including resi- <br /> dent manpower and ability to complete the work within the time <br /> allotted; <br /> 2. Manner of selection from those qualified to perform the service; <br /> 3. Necessity for subcontracting; and <br /> 4. Review of the subcontract, to ensure that (a) minimum terms of th( <br /> prime contract have been incorporated into the subcontract, anc (b) <br /> the Contractor's price breakdown includes costs (if any) for pc~- <br /> sonal services, subcontract, commodities, other direct costs, <br /> indirect costs, and profit. <br /> C. Pre-award audit is required when subcontracts exceed $25,000.00 in <br /> total value. <br /> D. No subcontract will relieve the Contractor of hi~ responsibility under <br /> this contract. <br /> XX. UTILIZATION OF SMALL BUSINESS CONCERNS: <br /> A. It is the policy of the United States Government as declared by th~ <br /> Congress that a fair proportion of the purchases and contracts for <br /> supplies and services for the government be placed with small business <br /> concerns. <br /> B. The Contractor agrees to accomplish the maximum amount of subcontracting <br /> to small business concerns that the Contractor finds to be consistent <br /> with the efficient performance of this contract. <br /> XXI. ORDER OF PRECEDENCE: <br /> In the event of an inconsistency between provisions of this contract, the <br /> inconsistency shall be resolved by giving precedence in the following <br /> order: <br /> A.
