installed will avoid the duplication of damaging City streets, interrupting traffic and other <br />inconveniences associated with public works construction projects. Recognizing that <br />each Party will expend significant public funds under this Agreement based upon a <br />mutual expectation of connecting this segment to the City's reclaimed waterline system <br />in the future, the Parties agree in good faith to negotiate a service agreement for the <br />City's delivery of reclaimed water to Texas State through this segment under mutually <br />agreed terms and conditions. <br />2. The City will authorize the work outlined in a Change Order Request amending <br />its contract with Aaron Concrete Contractors, L.P. by adding a reclaimed waterline in the <br />estimated amount of $627,148.00 to the contract. The Change Order Request is attached hereto <br />as Exhibit "B." <br />3. After the City's acceptance of the reclaimed waterline facilities, Texas State <br />agrees to reimburse the City 62.1 percent of the estimated cost of the reclaimed waterline <br />segment. The estimated cost to Texas State based on such percentage is $389,459.00. The City <br />shall be responsible for paying the remaining $237,689.00 or 37.9 percent of the estimated cost <br />of the reclaimed waterline facilities. If the actual cost of the work is less than the amount of the <br />in the Change Order Request, each Party's share shall be reduced proportionately. <br />a. Payment from Texas State shall be due within 30 days after receipt of an <br />invoice from the City, together with supporting documentation and invoices to the City <br />for payment from Aaron Concrete Contractors, L.P. showing the actual cost of <br />construction of the work and improvements related to the reclaimed waterline. <br />ARTICLE III <br />AMENDMENTS <br />Any amendments to this Agreement shall be in writing and executed by a duly <br />3 <br />
