<br />ARTICLE NINE <br /> <br />SEAL <br /> <br />9.01. The Board of Trustees shall provide a corporate seal, <br />which shall be in the form of a circle and shall have inscribed <br />thereon the name of the corporation and the words "Corporate Seal <br />of S.E.M. CORPORATION". <br /> <br />ARTICLE TEN <br /> <br />wAIVER OF NOTICE <br /> <br />10.01. Whenever any notice is required to be given under the <br />provisions of the Texas Non-Profit Corporation Act or under the <br />provisions of the Articles of Incorporation or the bylaws of the <br />Corporation, a waiver thereof in writing signed by the person or <br />persons entitled to such notice, whether before or after the time <br />stated therein, shall be deemed equivalent to the giving of such <br />notice. <br /> <br />ARTICLß ELEVEN <br /> <br />AMENDMENTS TO BYLAWS <br /> <br />11.01 Except for Sections 3.01, 3.02, 3.03, 3.04, 3.05, 3.06, <br />3.09, 3.10, 3.11, 3.12, 3.13, 4.03, 4.04, 5.01, 5.05, 11.01 and <br />12.01, these bylaws may be altered, amended, or repealed by a <br />majority vote of the Trustees present at a regular meeting or at a <br />special meeting. Sections 3.01, 3.02, 3.03, 3.04, 3.05, 3.06, <br />3.09, 3.10, 3.11, 3.12, 3.13,4.03, 4.04, 5.01,5.05, 11.01 and <br />12.01 may only be altered, ~TIended or repealed or new bylaws <br />adopted by a vote of six of the seven Trustees. In either case, <br />no such action may be taken unless at least three days written <br />notice is given of an intention to alter, amend, or repeal these <br />bylaws or to adopt new bylaws at a meeting. <br /> <br />ARTICLE TWELVE <br /> <br />DISSOLUTION <br /> <br />12.01 The corporation shall take the necessary steps to <br />dissolve itself at such time as its primary purpose is complete. <br /> <br />11 . <br />
