CORPORATION <br /> <br />We, the undersigned natural persons, at least two (2) of whom are <br />citizens of the State of Texas, and who are of the age of eighteen <br />(18) years or more, acting as incorporators of a corporation under <br />the Texas Non-Profit Corporation Act, do hereby adopt the follow- <br />ing Articles of Incorporation for such corporation. <br /> <br />ARTICLE ONE <br /> <br />NAME <br /> <br />The name of the corporation is S.E.M. CORPORATION. <br /> <br />ARTICLE TWO <br /> <br />NONPROFIT CORPORATION <br /> <br />The corporation is a nonprofit corporation. <br /> <br />AR'rICLE THREE <br /> <br />DURA'r I ON <br /> <br />The period of its duration is perpetual. <br /> <br />ARTICLE FOUR <br /> <br />PURPOSES <br /> <br />A. <br /> <br />The purposes for which "the corporation is organized are: <br /> <br />1. <br /> <br />The primary purpose is to acquire for the benefit of and <br />to convey to the City of San Marcos, Texas a water <br />supply and distribution system and other related assets <br />from Elim Water Company, Inc. of San Marcos, Texas and to <br />own a share or shares of stock of Elim Water Company, <br />Inc. pending completion of tne primary purpose. <br /> <br />2. <br /> <br />The secondary purpose is to raise funds for the benefit <br />of the City of San Marcos and to pay these funds to or <br />for the benefit of the City to be used for public <br />purposes. <br /> <br />1. <br />
