<br />The Clty of San Marcos (Lessor) herebY agrees to lease parkland
<br />across Hopklns Street from the Vlclnlty just west of San Marcos Clty
<br />Hall to Patrlck Wrlght aDa Wright's Outdoor Amusements (Lessee), for
<br />the purpose of allowlng Lessee to condUct a carnival from October 14,
<br />1986 through OCtober 29, 1986, at said locatlon, ln consiaeratlon for
<br />the followlng:

<br />1. Lessee hereby agrees to procure ana rnaintaln lnsurance
<br />coverage for bodily lnJury ana property damage WhlCh may arlse from the
<br />acti Vl tles which are tl1e SUDJ ect of thlS lease. Such insurance shall
<br />De wlth an lnsurance company authorlZea to do buslness in the State of
<br />Texas. Such lnsurance shall cover all operations under thlS lease,
<br />whether conducted by Lessee, ltS agents or subcontractors ana sala
<br />coverages shall have mlnlffium limlts of llaDlllty of not less than 1
<br />milllon dOllars ($1,000,000.00). All coverages shall De malntalnea at
<br />least for a perlod of SlX (6) months from the executlon of thlS lease.

<br />2. Lessee herebY agrees to pay to Lessor, ln advance of
<br />commencement of actlvlties, $100 ln deposit and $100 as a use fee for
<br />the use of said location.
<br />
<br />3. Lessee hereby agrees to protect, defend, lndemnlfy ana hOld
<br />Lessor, ana ltS employees, agents, officers ana servants free ana
<br />harmless from any ana all losses, claims, liens, demandS and causes of
<br />actlon of every klnd ana character includlng, out not llmlted to, the
<br />amounts of Judgments, consequentlal and/or lnclaental damages,
<br />penaltles, interests, court costs, legal fees, and all other expenses
<br />lncurrea oy Lessor arlslng in favor of any party, lnclualng clalms,
<br />liens, debts, damages ana expenses resultlng from personal lnJuries,
<br />lncluding employees of Lessor, death or aamages to property (lncludlng
<br />property of Lessor) and wlthout Ilmitation by enumeratlon, all other
<br />claims or demandS of every character occurring or in anywise lnCldent
<br />to, in conneciton Wlth or arlslng directly or lndlrectly out of thls
<br />Agreement. Lessee agrees to lnvestigate, handle, respond to, provlde
<br />defense for and defend any SUCh claims, demand, or SUlt at the SOle
<br />expense of Lessee. Lessee alsO agrees to Dear all. other costs ana
<br />expense related thereto, even if the claim or clalms alleged are
<br />groundless, false or fraudulent. The lndemnlty requlrea hereunder
<br />shall not be llmlted bY reason of the speciflcation of any particular
<br />insurance coverage ln thls Agreement. ThlS lndemnlflcatlon obllgatlon
<br />shall not De limlted in any way DY any limitation on the amount or type
<br />of damages, compensatlon or beneflts payable by or for Lessee or any
<br />subcontractor under workmen's compensatlon acts, aisablllty beneflt
<br />acts, or other employee benefit acts.
