<br />hereto that the following properties are not subject to this <br /> <br />Agreement and not conveyed to CITY: <br /> <br />(a) <br /> <br />Franchises of LCRA other than as expressly <br /> <br />conveyed, transferred or assigned to CITY in accordance with the <br />terms of this Agreement. <br /> <br />(b) <br /> <br />All 138 kV transmission lines now or hereafter <br /> <br />belonging to LCRA and located within the area covered by Exhibit <br /> <br />1, including, without limitation, the towers, poles, guys, <br /> <br />crossarms, hardware, wires, insulators and appurtenances forming a <br /> <br />part thereof and used and necessary in connection with such <br /> <br />transmission lines, together with all rights of way and easements <br /> <br />for or relating to the construction, maintenance or operation <br /> <br />thereof. <br /> <br />(c) <br /> <br />All 138/12.5 tv Distribution Substations and <br /> <br />138 tv Transmission Switchyards located within the area covered by <br />Exhibit 1 attached to this Agreement, including without limitation <br /> <br />all buildings, certain structures, transformers, certain oil <br /> <br />circuit breakers, switch control equipment, metering equipment and <br /> <br />appurtenances forming a part thereof and used and necessary in <br /> <br />connection with such substations and each of them, together with <br /> <br />the land or leaseholds owned or held in connection therewith. <br /> <br />ARTICLE IV <br />TITLE <br /> <br />4.01 Any real property to be conveyed to CITY by virtue of <br /> <br />this Agreement shall be conveyed by LCRA by general warranty <br /> <br />7. <br />
