<br />terms of this Agreement, other than such contracts as are <br /> <br />incidental to the normal operation of such Properties. <br /> <br />ARTICLE VII <br />CLOSING OF PURCHASE <br /> <br />7.01 LCRA shall bill, collect and pay all sales taxes for <br />which LCRA is .responsible through the date of transfer to CITY of <br /> <br />each customer account as provided in this Agreement. <br /> <br />After the <br /> <br />date of transfer from LCRA to CITY of each customer account as <br /> <br />provided in this Agreement, CITY shall bill, collect and pay all <br /> <br />applicable sales taxes on each transferred account. <br />7.02 CITY shall pay (on, or as soon as possible after, the <br /> <br />Closing Date) to LCRA, the amount of all prepaid accounts, if any, <br /> <br />in connection with the ownership or operation of the Properties to <br /> <br />be transferred by CITY, prepaid at the Closing Date, including <br /> <br />prepaid accounts for insurance (on policies transferred), pole <br /> <br />attachment rental, railway crossing rentals, etc., and all <br /> <br />miscellaneous prepayments. <br /> <br />7.03 LCRA shall prorate with CITY as of the Closing Date the <br /> <br />amount of prepayments received by LCRA under agreements or <br /> <br />obligations assumed by CITY hereunder. <br />7.04 On, or as soon as possible after, the Closing Date, LCRA <br /> <br />shall provide a list of customers served by the San Marcos <br />District Electric Distribution System that is the subject of this <br /> <br />transfer and who have to their credit a deposit, the date such <br /> <br />deposit was made, the amount thereof, and the unpaid interest <br /> <br />12. <br />
