-2- PART 4. That the terms and conditions of the final Operating Agreement between the City of San Marcos and LCRA, attached to this Resolution as Exhibit "C" and incorporated herein in its entirety for all purposes, is hereby approved. PART 5. That either the Mayor or the City Manager is authorized to execute the final Purchase Agreement. hereby PART 6. That either the Mayor or the City Manager or the City's special legal counsel, John W. Davidson or Thomas H. Peterson, is hereby authorized to execute on behalf of the City any and all documents required to close the purchase and to take any action which the City may be required to take at the closing of the sale of said facilities by LCRA to the City. PART 7. That all cash held by LCRA for the account of City and all cash collected by LCRA for the account of City shall be deposited in University Savings Association in accounts established by City's Director of Finance. PART 8. That the recitals written above the resolution clause are true and correct and are incorporated into this resolution as though re-written herein in their entirety. PART 9. That should any provision of this resolution be held invalid, inoperative, illegal, or unconstitutional by any court of competent jurisdiction, such provision shall be deemed separate, distinct and independent from other provisions of this resolution and such holding shall not affect the validity of the remaining portions thereof.
