<br />there are no actions, suits, inquiries or proceedings pending or <br /> <br />to the knowledge of officials of LCRA, threatened against or <br />affecting LCRA before any court or administrative body or agency <br /> <br />which might materially adversely affect LCRA's proposal, approval <br /> <br />or adoption of the resolution authorizing, or the execution, <br /> <br />delivery or performance by LCRA of this Agreement or the <br />agreements attached as Exhibits 15 and 16 to this Agreement. <br /> <br />(g) <br /> <br />LCRA has no knowledge and will certify at Closing <br /> <br />that it has no knowled~e of any material defects in the Property <br />or of any lien or other claims against Property which will not be <br /> <br />released at the time of Closing. <br /> <br />10.02 CITY represents and warrants as follows: <br /> <br />(a) <br /> <br />CITY is a municipal corporation, duly organized and <br /> <br />validly existing under the laws of the State of Texas and has the <br /> <br />requisite power and authority to propose, approve and adopt the <br />necessary ordinances or resolutions authorizing an election by the <br /> <br />citizens of the City of San Marcos, authorizing the Officers of <br /> <br />CITY to purchase and finance the purchase of the Property and the <br /> <br />execution of this Agreement and the agreements substantially in <br /> <br />the form of Exhibits 15 and 16 attached to this Agreement and to <br /> <br />deliver the same and perform all obligations set forth in the <br /> <br />above-described agreements. <br /> <br />( b) <br /> <br />The execution, delivery and performance of this <br /> <br />Agreement and the agreements substantially in the form of Exhibits <br />15 and 16 attached to this Agreement have been (or by Closing Date <br /> <br />23. <br />
