<br />ARTICLE XIV <br />MISCELLANEOUS PROVISIONS <br /> <br />14.01 This Agreement is subject to the approval of the Board <br />of Directors of LCRA or its duly authorized Officer and to <br /> <br />approval by the governing body of CITY. <br />14.02 This Agreement shall be governed by the laws of the <br /> <br />State of Texas, except as to matters exclusively controlled by the <br /> <br />Constitution and Statutes of the United States of America. <br /> <br />14.03 Except as otherwise reQuired by law, venue for all <br /> <br />disputes between the Parties concerning this Agreement shall be <br /> <br />exclusively vested in Bays County, Texas. <br /> <br />14.04 All of the respective covenants, undertakings and <br />obligations of each of the Parties set forth in this Agreement <br /> <br />shall bind and shall be and become the respective covenants and <br /> <br />obligations of that Party and, to the extent permitted by law and <br /> <br />the existing contracts of the applicable Party, shall apply to and <br />bind: <br /> <br />(a) <br /> <br />All mortgagees, trustees and secured parties under <br /> <br />all present and future mortgages, indentures and deeds of trust, <br /> <br />security agreements which are or may become a lien upon any of the <br /> <br />Properties¡ <br /> <br />( b) <br /> <br />All receivers, permitted assignees, bankruptcy <br /> <br />judges or trustees having control over any Party¡ <br /> <br />(c) <br /> <br />All successors ør assigns, or other persons, firms, <br /> <br />partnerships, corporations or entities claiming by, through or <br /> <br />26. <br />
