<br />EXHIBIT C (Continued) <br /> <br />GENERAL TERMS AND CONDITIONS <br /> <br />WHOLESALE POWER SERVICE <br /> <br />1. <br /> <br />General provisions <br /> <br />3. <br /> <br />Revision of Rates. <br /> <br />(Continued) <br /> <br />Trust Indenture and its bond resolution, LCRA agrees that <br /> <br />it will, except in the case of an emergency*: <br /> <br />A. <br /> <br />Advise its wholesale power customers, including <br /> <br />Distributor, of any proposed change together with the <br /> <br />reasons <br /> <br />therefore <br /> <br />at <br /> <br />least <br /> <br />180 <br /> <br />days <br /> <br />prior <br /> <br />to <br /> <br />the <br /> <br />proposed effective date of any such rate change¡ <br /> <br />B. <br /> <br />After notification to the wholesale power customers of <br /> <br />any proposed <br /> <br />rate change <br /> <br />and <br /> <br />its proposed effective <br /> <br />date, LCRA's staff shall meet with the representatives <br /> <br />of the customers, including Distributor, and endeavor <br /> <br />to reach an agreement as to any such change. <br /> <br />If, for <br /> <br />any <br /> <br />reason, <br /> <br />the <br /> <br />representatives <br /> <br />of <br /> <br />the <br /> <br />parties <br /> <br />are <br /> <br />unable to reach an agreement within 90 days of any such <br /> <br />changes, the staff of LCRA may present the matter to <br /> <br />LCRA's Board of Directors for consideration. <br /> <br />*Emergency. <br /> <br />The term "emergency" as used herein shall include <br /> <br />only those circumstances, events or conditions which are beyond <br />the reasonable control of LCRA. <br />
