Alliance Work Partners <br />A professional service of Workers Assistance Program, Inc. <br />PURCHASE OF SERVICES AGREEMENT <br />X New _Renewal <br />This PURCHASE OF SERVICES AGREEMENT, hereinafter AGREEMENT, is executed <br />on the 17th day of December, 2013 by and between Alliance Work Partners, hereinafter <br />AWP and the CITY of San Marcos, hereinafter CITY, and the parties do hereby covenant <br />and agree as follows: <br />1. PURCHASE OF SERVICES: CITY purchases and AWP agrees to provide the an <br />Employee Assistance Program that consists of the following services for the term and upon the <br />conditions set forth in this AGREEMENT and in the Exhibits below: <br />a) Description of Services - See Exhibit I for a description of services purchased under this <br />AGREEMENT. <br />b) Fee Schedule and Conditions - The CITY agrees to pay AWP an annual not to exceed <br />fee of $25,000.00 for the satisfactory performance of its services in accordance with the <br />provisions of Exhibit 1. In the event the City requires additional services, those will be <br />billed to the City at the rates included in Exhibit 1 or as negotiated with the City. The <br />City is under no obligation to compensate the Consultant for additional services <br />performed without the City's prior approval. Reimbursable expenses are included in the <br />Consultant's basic services compensation. <br />2. STANDARDS OF PERFORMANCE: The performance of all services by AWP under this <br />AGREEMENT will be by persons or persons under the supervision of persons appropriately <br />licensed or registered under State, local and Federal laws as applicable. AWP will perform all of <br />its services in coordination with the CITY and will advise the CITY of data and information <br />AWP needs to perform its services. AWP will meet with CITY representatives at mutually <br />convenient times to assemble this data and information. In performing all services under the <br />AGREEMENT, the AWP will comply with all local, state and federal laws. <br />3. TERM; TERMINATION OF AGREEMENT: The term of this AGREEMENT will <br />commence, and services will begin on December 1, 2013 and the AGREEMENT will <br />automatically renew each year for ten (10), unless either party provides written notice of <br />termination. This AGREEMENT may be terminated for convenience and without cause by <br />either party upon a ninety (90) day prior written notice. <br />4. BREACH: The CITY will have the right to declare AWP in breach of the AGREEMENT <br />for cause when the CITY determines that this AGREEMENT has not been performed in <br />accordance with its written terms and conditions. <br />5. LOCATION: All training, consultation, professional and organizational development for <br />CITY personnel will take place on premises provided by the CITY, unless otherwise agreed to <br />by AWP for a specific event.
