AWP will notify the CITY, in writing, of any change in its <br />partnership /ownership within 30 calendar days of such change. <br />o) Any exhibits and/or attachments attached to the AGREEMENT are incorporated by reference <br />into the AGREEMENT as though included verbatim herein. In the event of any conflict <br />between these Terms and Conditions and the provisions of any exhibit or attachment to the <br />AGREEMENT, these Terms and Conditions will govern and control. <br />p) The AWP will not include Federal taxes or State of Texas limited sales excise and use taxes <br />in its invoices or vouchers and statement of costs. The CITY is exempt from payment of such <br />taxes and the AWP may retrieve a resale certificate for use on this Project from the State of <br />Texas Comptroller's website. <br />13. ENTIRE AGREEMENT: The AGREEMENT including any appendices and referenced <br />attachments or exhibits represents the entire and integrated AGREEMENT between the CITY <br />and AWP and supersedes all prior contemporaneous or subsequent oral or e-mail negotiations, <br />representations or Agreements. The AGREEMENT may be amended only by written <br />instrument, which must be signed by both the CITY and AWP pursuant to the terms of <br />Paragraph 6 above.
