District upon the Rail District providing to the Party a request and accounting for the use of the <br />funds. Funds may be used for such Administrative Costs as defined in this Agreement. If the <br />Party depositing the funds disagrees with the Administrative Costs use of the funds, the Party <br />may invoke the mediation provisions in Section 7.13 of this Agreement. The Rail District may <br />also exercise the provisions of Section 5.05 of this Agreement. The provisions of this Section <br />5.04 of this Agreement shall expire and be of no force or effect upon the occurrence of one or <br />more of the events set out in Section 6.04. Upon the expiration of this Section 5.04, funds <br />maintained by the Party as fiscal agent shall be deposited in the Tax Increment Fund. <br />5.05. General Conditions Regarding Expenditure of Tax Increment Fund. Until the <br />occurrence of one of the events set out in Section 6.04 hereinafter the Rail District will not <br />expend Tax Increment Funds provided by a Party unless the Rail District provides a written <br />request, including a budget for use of the funds and payment timing, to the Party of the amount <br />and purpose for expenditure of funds. The Party shall have sixty (60) days from the sending of <br />the request to approve or deny the expenditure of the Party's funds. Any approval or denial must <br />be made by the governing body of the Party objecting. If the Party does not act to approve or <br />deny the request for expenditure of funds within the sixty (60) day period, the expenditure of <br />funds will be deemed to be approved. The Rail District may resubmit a request for expenditure <br />of funds with additional information on the purpose for reconsideration by a Party without <br />prejudice and under the same review and consideration provisions as the original request. This <br />Section 5.05 shall expire and be of no force or effect upon the occurrence of one or more of the <br />events set out in Section 6.04. No Tax Increment Funds shall be used for debt service without <br />prior consent of the Party providing the Funds <br />
