1.0.5 The Vendor will perform the Services in coordination with the City, and the City's <br />consultants, contractors and other vendors. The Vendor will advise the City of data and <br />information the Vendor needs to perform its Services and the Vendor will meet with the City <br />representatives at mutually convenient times to assemble this data and information. In addition, <br />the City will rely on the Vendor to provide information regarding changes in Avaya Products and <br />Solutions or general information about new products. The City and the Vendor will meet as <br />needed and requested by the City to evaluate the Vendor's performance. <br />1.0.6 Jeff Kelley, Account Manager is the Vendor's Project Manager who has full authority to <br />act on the Vendor's behalf regarding all aspects of the Services and Products, including delivery, <br />installation, implementation and training as well as related warranty services. The Project <br />Manager is the primary source of contact for the City and is designated as the Vendor's <br />representative most responsible for ensuring accurate and effective implementation of its <br />Services and Products under this Agreement. The remaining members of the team include: <br />Senior Service Technician, Ron Patterson <br />Service Supervisor, Lori Martin <br />Sales Engineer, Larry Gayle <br />The Vendor will not substitute another representative for this Project unless approved in writing <br />by the City in advance of such proposed substitution. In the event the City and the Contractor <br />cannot agree to the substitution of the Project Manager, the City may terminate this Agreement <br />in accordance with Article 7. The Vendor will assign a maximum of two individuals to the <br />City's account on an ongoing basis in order to be thoroughly familiar with the City's System. <br />The Vendor will notify the City of what individuals are going in and out of the buildings where <br />the switches are located. <br />1.1 DEFINITIONS <br />In this Agreement, the following terms will have the following meanings: <br />1.1.1 Alarm Monitoring - means that if the System is equipped with an automatic alarm unit it <br />will be monitored for any software or hardware errors. Should an alarm in the system be <br />detected by the Vendor, the Customer Solutions Center is immediately notified and a support <br />case is opened. <br />1.1.2 Corrective Maintenance - means repair or replacement services provided to remedy <br />defects in a Product pursuant to manufacturer specifications and any applicable service plan, <br />including labor and parts. <br />Black Box Telephone Hardware and Software Master Purchase and Maintenance Agreement 2013 <br />2 <br />
