1.1.12 Manufacturer Corrective Software Updates — Software that includes "bug" fixes or minor <br />revisions that correct errors in existing operations of the Software. Updates do not include <br />hardware, Software enhancements or Software upgrades. The City acknowledges that Software <br />updates and patches require a current Avaya PASS agreement to be in place with the <br />manufacturer. <br />1.1.13 Minor Failure — includes all other requests for maintenance not included in 1.1.10. <br />1.1.14 Not Working Properly — means that, based on the City's determination, the software or <br />hardware is not operating in accordance with the specifications established by the manufacturer. <br />1.1.15 Premises - means your installation or service location as referenced on a Schedule A <br />(Attachment A). <br />1.1.16 Preventative Maintenance — means a routine performed on the System to check all critical <br />components to verify system performance according to the procedures and at the frequency <br />recommended by the manufacturer of the components. <br />1.1.17 Price - will have the meaning as set forth in Article 4 of this Agreement. <br />1.1.18 Product or Products — refers to equipment, Product Upgrades, or MAC purchased and /or <br />Software or Custom Software licensed by the City from the Vendor as an additional transaction <br />under this Agreement. <br />1.1.19 Product Upgrade - is considered an additional transaction under this Agreement and <br />includes, but is not limited to a new release, new functionality of a Product or Product <br />enhancement, as noted on a Schedule A, to an installed Product. <br />1.1.20 Project Services - means additional services, provided by Vendor on a time and materials <br />or project basis, as described on a Schedule A. <br />1. 1.21 Remote Diagnostics Support - means all alarms and repair calls are routed to technical <br />analysts for review prior to dispatching a field technician. If the malfunction is not repaired <br />remotely by a technical analyst a field technician will be dispatched. <br />1. 1.22 Schedule A — means the ordering document in the form attached to this Agreement as <br />Attachment A. In the event the City requests additional services or wishes to procure Products <br />(in accordance with Section 1.4), a Schedule A detailing the transaction will be prepared and will <br />accompany the City's Authorization in Change of Services Form (Attachment B). <br />Black Box Telephone Hardware and Software Master Purchase and Maintenance Agreement 2013 <br />El <br />
