<br /> A. WITH THE EXCEPTION OF THE PROVISIONS CONTAINED IN PARAGRAPH 24 HEREOF, THIS AGREEMENT CAN BE TERMINATED ONLY
<br /> BY EXPIRATION OF ITS FIXED TERM OR PAYMENT OF THE FUll PUR'CHASE PRICE AS set FORTH IN PARAGRAPH 4.
<br /> B. This Agreement shall become effective (i on the date it is signed as accepted for Xerox by an authorized Xerox representative, or (ii! if the Equip-
<br /> ment hereunder has been installed by Xerox, as of the installation date, or Wi} if In-Place Equipment, as of the date this Agreement is signed by the
<br /> Customer; and shall continue for the lease term as specified above. Customer agrees that Xerox Credit Department may conduct a credit investiga-
<br /> tion, including the preparation of a credit investigative report. Xerox shall have the right to cancel this Agreement by written notice at any time prior
<br /> to, or within 60 days after, installation of the Equipment, or its acceptance after the credit investigation in the event that Xerox Credit Department
<br /> determines that the Customer's credit standing is not in accordance with Xerox' standards or if Customer has altered any of the terms and condi-
<br /> tions contained herein and such alterations are unacceptable to Xerox. Should such a determination by Xerox Credit Department Occur and should
<br /> any of the items of Equipment have been delivered prior to Xerox' determination, Xerox may, at its option, cancel this Agreement and remove the
<br /> Equipment. In such event, upon notice, Customer shall make the Equipment immediately available. There shall be no charges to Customer and any
<br /> payments made shall be returned.
<br /> .. LEASE PAYMENT
<br /> A. During the term of this lease, Customer agrees to pay JliOIJlll It il monthly installments of $~as minimum lease pay-

<br /> Commencement Date shall be the,same day of the month on which the Equipment is installed, in the month succeeding installation; In case of In-Place
<br /> Equipment the Commencement Date shall be the same day otthe month on which this Agreement is accepted by Xerox in the month succeeding
<br /> acceptance. For Equipment which is not to be installed by Xerox, the Commencement Date shall be thirty (30) days after shipment of Equipment.
<br /> Subsequent lease payments shall be due on the same day of each and every consecutive month thereafter for the term hereof. If the Commence-
<br /> ment Date falls on the last day of a month, subsequent payments shall be due on the last day of each succeeding month. Xerox will endeavor to
<br /> send Customer a monthly payment reminder invoice and Customer understands and agrees that should Xerox encounter a delay in initiating the
<br /> preparation and mailing of such monthly invoices, Customer may receive more than one such monthly invoice for payments due. Monthly
<br /> payments are due regardless of the receipt of invoices.
<br /> B. Customer also agrees to pay as part of the lease payment an excess copy charge for each copy made above the allowance tor the
<br /> applicable copy allowance period as set forth in the applicable Xerox Maintenance Price List.
<br /> Customer shall report Equipment meter readings to Xerox at the end of each month if the copy allowance period is monthly, at the end of each six
<br /> month period if the copy allowance period is semi-annual or at the end of each twelve month period if the copy allowance period is annual. Xerox
<br /> shall have free access to the Equipment to ensure accuracy of the meter readings.
<br /> Metered unit copy charges are invoiced upon receipt of Customer's meter card, except that if the Customer's meter card is not timely received by
<br /> Xerox the unit copy charges may be estimated by Xerox and invoiced accordingly.
<br /> Terms of payment are "Net - 30 days".
<br /> The copy allowance is prorated during any copy allowance period that the equipment is installed for less than the full allowance period, based on a
<br /> 3O-daymonth, 180-day six month period or 360-day year.
<br /> C. In addition to any other acts or failure to act which constitutes a default hereunder, if a Customer fails to pay when due any amount herein to be
<br /> paid to Xerox, Customer shall be in default. Customer shall pay to Xerox a late charge where permitted, of 1 % per month of the unpaid amount due
<br /> until paid, or the maximum late charge otherwise permitted by applicable law after the expiration of any statutorily required grace period, as part of
<br /> such default at Xerox' option.
<br /> D. Xerox shall have the right to increase the monthly charges payable by Customer without prior notice, effective upon the expiration of the
<br /> Customer's current fiscal year and at the end of every twelfth (12thl month thereafter. The increase shall not exceed any increases made during the
<br /> preceding twelve (12) month period for maintenance prices (as reflected in the Xerox Price Lists) for the same model and at like copy volume. The
<br /> increase shall not exceed 15% of the maintenance component of the term lease charges in effect at the prior fiscal anniversary of the Customer.
