<br /> .m}t.J,!J~~ $AÉGÉR"(',,~ENDAI..L..& FROST <br /> ""-""R"ÉY."""~"" <br /> ~-""'"~6_:_':C~; ." <br /> CONSENT BY LESSOR TO <br /> MORTGAGE OF LEASEHOLD BY LESSEE <br /> THE STA'rE OF TEXAS * <br /> * <br /> COUNTY OF CALDWELL * <br /> WHEREAS, on January 10, 1984, an agreement of lease was made <br /> and entered into by and between the City of San Marcos, Texas, a <br /> municipal corporation, therein called Lessor, and G'f+ 3 Flight <br /> Operations, Inc., therein called Lessee, whereby Lessee leased <br /> certain property at the San Marcos Municipal Airport situated in <br /> Caldwell County, Texas, to which reference is hereby made for a <br /> complete description thereof; and <br /> WHEREAS, Lessee plans to construct an airplane hangar on <br /> said leased property and has requested the Nolte National Bank of <br /> Seguin for a loan in the amount of $250,000.00 to finance the <br /> construction of said hangar; and <br /> WHEREAS, said lease provides in Paragraph XXIII: "Lessee <br /> shall not assign or sublease this Agreement of Lease without <br /> first obtaining the prior written approval of the Lessor, which <br /> approval shall not be unreasonably withheld."; and <br /> WHEREAS, Nolte National Bank of Seguin requires as a <br /> condition to making the above mentioned loan that the City of San <br /> Marcos, Texas, give its written consent to the mortgaging of the <br /> lease by GT+3 Flight Operations, Inc. as security for said loan. <br /> NOW THEREFORE, in consideration of the demand by the Nolte <br /> National Bank of Seguin and of the premises, the City of San <br /> Marcos, Texas, hereby consents to a mortgage of the described <br /> leasehold estate by GT+3 Flight Operations, Inc. to secure a loan <br /> to be made by the Nolte National Bank of Seguin in the principal <br /> amount of $250,000.00. <br />
