-3- 9. City agrees, by and through its City Council, to review and determine the best responsible low bid for the public improvements required by this Agreement. 10. City agrees to pay to JWB, its portion of the total cost of construction, which shall be the total cost of construction less the estimated cost of construction of an 8" gravity wastewater line along the same route as the improvements set forth in Exhibit "B", within thirty (30) days of its acceptance of the improvements. City further agrees to not unreasonably withhold its acceptance of the improvements. 11. City agrees to, at no cost and expense to JWB, inspect the construction of the improvements as such construction progresses and to finally inspect such improvements and accept such for maintenance within fourteen (14) days of receipt of notice of completion of construction. City further agrees that no inspection or approval of construction will be unreasonably withheld or denied. 12. City agrees to provide at no cost to JWB all necessary permanent public utility easements and temporary working easements and licenses necessary for the construction of the improvements set forth herein. 13. City agrees that JWB shall have no further obligation to the City with respect to the construction of such improvements from and after the date of acceptance for maintenance by the City of the improvements set forth in Exhibit "B" except for a one year warranty on the subject improvements. 14. This Agreement and the provision of water and wastewater capacity shall be subject to all valid and applicable rules, regulations, laws, agreements, and court judgments of or with the United States of America, the State of Texas, or any governmental body, agency or court having lawful jurisdiction thereof, so long as such do not have the effect of voiding or negating the rights and obligations of the parties hereunder.
