<br /> CONSUL T ANT, the CONSULTANT shall be compensated for any work performed as of <br /> the date of termination. <br /> C. Amendments: The CITY and/or the CONSULTANT may, from time to time, <br /> request changes in the Scope of Services, Time of Performance, and any other elements of <br /> this agreement to be performed hereunder. Such proposed changes must be submitted by <br /> written notice and may be requested by either party. If the change is acceptable to both <br /> parties, it shall become a part of this contract. Compensation adjustments which are <br /> mutually agreed upon by and between the CITY and the CONSUL T ANT shall be <br /> incorporated in this contract by written amendment. <br /> D. Additional Services: The CITY, at its discretion, may request the <br /> CONSUL T ANT to attend additional meetings or perform other work beyond the scope of <br /> services outlined in Section I of this Contract which are considered necessary, by the <br /> CITY, to complete the management review. Compensation for these additional services <br /> will be based on the CONSULTANT'S standard rates for professional personnel plus any <br /> associated travel expenses, unless otherwise mutually agreed upon by and between the <br /> CITY and the CONSULTANT. <br /> V. PERSONNEL <br /> The CONSULTANT represents that it has, or will secure at its own expense all <br /> personnel required in performing the CONSULTANT services under this contract. Such <br /> personnel shall not be employees of or have any contractual relationship with the CITY. <br /> The CONSULTANT will not discriminate against any employee or applicant for <br /> employment because of race, color, religion, sex or national origin. The CONSULTANT <br /> shall take affirmative action to ensure that applicants are employed and that employees <br /> are treated during employment, without regard to their race, color, religion, sex or <br /> na tional or igin. Such action shall include, but not be limited to the following: <br /> employment, upgrading, demotions or transfers, recruitment or recruitment advertising; <br /> layoffs or termination; rates of payor other forms of compensation; selection for training <br /> including apprenticeship; and participation in recreational and educational activities. <br /> The CONSULTANT agrees to post in conspicuous places, available to employees <br /> and applicants for employment, notices to be provided by the government setting forth <br /> -3- <br />
