contract, said dispute or difference of opinion shall be settled by arbitration in the following manner. CITY shall appoint one (1) arbitrator. CONSULTANT shall appoint (1) arbitrator, and the two (2) selected shall appoint a third arbitrator. The decision of the majority of said three (3) arbitrators shall be binding on CITY and CONSULTANT and will be final and conclusive as to such dispute or difference of opinion. Such arbitration shall be completed as rapidly and expeditiously as possible and within a reasonable time. Each party shall pay fifty (50) percent of the costs of any arbitration or arbitrations conducted under the terms of this Contract. VllI. OWNERSHIP OF DOCUMENTS All documents developed under this contract shall be the property of the CONSUL T ANT. Upon completion and final payment specified in Section III, those documents shall be turned over to the CITY and become CITY property. During the progress of the program, the CITY shall have full access to the work in progress. Such access shall be at the CONSULTANT'S principal office in Dallas, Texas, or, at the election of CITY, CONSULTANT will provide CITY with one (1) copy of work in progress to remain property of CONSULTANT. IX. ACCURACY OF INFORMA nON AND DATA CONSUL T ANT shall exercise all reasonable diligence with reference to the accuracy of information and data provided to CITY; however, regardless of the care taken in production, data is only as good as the information furnished by the sources for its content. Care and effort will be exercised in receiving and submitting data from information and records available. CONSULTANT assumes no responsibility for inaccuracy of information or loss by reason of any material or information furnished by the CITY. X. SUCCESSORS AND ASSIGNMENTS The CITY and the CONSULTANT, each binds himself, successors, executors, administrators, and assigns of such other party in respect of all covenants of this -5-
