<br /> contract, said dispute or difference of opinion shall be settled by arbitration in the <br /> following manner. CITY shall appoint one (1) arbitrator. CONSULTANT shall appoint (1) <br /> arbitrator, and the two (2) selected shall appoint a third arbitrator. The decision of the <br /> majority of said three (3) arbitrators shall be binding on CITY and CONSULTANT and will <br /> be final and conclusive as to such dispute or difference of opinion. Such arbitration shall <br /> be completed as rapidly and expeditiously as possible and within a reasonable time. Each <br /> party shall pay fifty (50) percent of the costs of any arbitration or arbitrations conducted <br /> under the terms of this Contract. <br /> VllI. OWNERSHIP OF DOCUMENTS <br /> All documents developed under this contract shall be the property of the <br /> CONSUL T ANT. Upon completion and final payment specified in Section III, those <br /> documents shall be turned over to the CITY and become CITY property. <br /> During the progress of the program, the CITY shall have full access to the work <br /> in progress. Such access shall be at the CONSULTANT'S principal office in Dallas, Texas, <br /> or, at the election of CITY, CONSULTANT will provide CITY with one (1) copy of work in <br /> progress to remain property of CONSULTANT. <br /> IX. ACCURACY OF INFORMA nON AND DATA <br /> CONSUL T ANT shall exercise all reasonable diligence with reference to the <br /> accuracy of information and data provided to CITY; however, regardless of the care taken <br /> in production, data is only as good as the information furnished by the sources for its <br /> content. Care and effort will be exercised in receiving and submitting data from <br /> information and records available. CONSULTANT assumes no responsibility for <br /> inaccuracy of information or loss by reason of any material or information furnished by <br /> the CITY. <br /> X. SUCCESSORS AND ASSIGNMENTS <br /> The CITY and the CONSULTANT, each binds himself, successors, executors, <br /> administrators, and assigns of such other party in respect of all covenants of this <br /> -5- <br />
