<br /> for which such Indemnified Party is indemnified under this <br /> Section, and, thereafter, the County shall not be liable to any <br /> such Indemnified Party for any legal or other expenses other than <br /> reasonable costs subsequently incurred by such Indemnified Party <br /> at the request of the County in connection with the defense <br /> thereof. The County shall not be liable for any settlement of <br /> any such claim, action, or proceeding effected without its <br /> consent. Each Indemnified Party shall give prompt notice of any <br /> claim, action or proceeding against it upon which such Indem- <br /> nified Party may seek indemnity hereunder. <br /> Section 6. Separability Clause. If any provision in <br /> this Agreement or any application hereof shall be invalid, <br /> illegal, or unenforceable, the validity, legality, and <br /> enforceability of the remaining provisions and applications shall <br /> not in any way be affected or impaired thereby. <br /> Section 7. Governing Law. This Agreement shall be <br /> construed in accordance with and governed by the laws of the <br /> State of Texas. <br /> IN WITNESS WHEREOF, the parties hereto have caused this <br /> Agreement to be duly executed and their respective seals to be <br /> -5- <br />
