Lington: <br /> This letter shall serve as the agreement between you and the City <br /> of San Marcos, Texas for your provision of engineering services to said <br /> City, the terms of which shall be as follows: <br /> 1. You shall provide engineering services as outlined in Exhibit <br /> A, which is attached hereto and incorporated herein for all purposes, <br /> as the resident project engineer during the construction of the City's <br /> wastewater treatment plant (including main lift station) and package <br /> wastewater treatment plants. Such services will be provided In your <br /> capacity as an independent contractor and not as an employee of the <br /> City. These services shall be provided by you, personally, and not by <br /> any other employees, agents, or subcontractors of Lington Engineers, <br /> Inc. <br /> 2. Your compensation shall be paid on a monthly basis at a rate <br /> of $36,000 per year. Fund s for your compensation exist for payments up <br /> to two years or $72,000. In addition to said compensation, you shall <br /> be paid monthly for the cost of maint.aining a Professional Liability <br /> Policy which provides coverage solely for your services to the City of <br /> San Marcos as required by this Agreement. This agreement may be <br /> revised, with consent of the parties hereto, with respect to the total <br /> fund s for your compensation. <br /> 3. This agreement shall terminate at the option of either party upon <br /> receipt by the other of thirty (30) days' prior written notice thereof <br /> or after the expiration of twenty-four (24) months from the date of <br /> execution of this agreement, whichever is sooner. <br /> 4. You do hereby further agree that you will pay for and keep in <br /> full force and effect throughout your contract of employment by the <br /> City and for the 90 day period immediately following the termination of <br /> your employment, a professional liability insurance policy in an amount <br /> of $1,000,000.00. Said policy is subject to approval by the City of <br /> San Marcos and shall not be terminated without ten (10) days' prior <br /> written notice to the City of San Marcos.
