CERTIFICATE OF APPROVAL AND PUBLICATION OF ANNUAL POLICY STATEMENT I, the undersigned, do hereby certify as follows: 1. That I am the duly elected and acting Mayor of the City of San Marcos, Texas (the "Unit"), and, in such capacity, have been presented with and have reviewed the Annual Policy Statement on Mortgage Revenue Bonds and Mortgage Credit Certificates of Capital Area Housing Finance Corporation (the "Corporation"), a copy of which is attached hereto (the "Annual Policy Statement"). 2. That I have been advised by the Corporation that the Annual Policy Statement has been approved by the Board of Directors of the Corporation following a public hearing preceded by reasonable public notice. 3. That I do hereby approve the Annual Policy State- ment and authorize and direct the Corporation to publish and deliver to the Department of the Treasury a copy of the Annual Policy Statement in a manner that satisfies the requirements of Section 103A (j) (5) of the Internal Revenue Code of 1954, as amended (the "Code"), and applicable regulations thereunder. 4. That this certificate is executed for the purpose of satisfying the requirements of Section 103A(j) (5) of the Code and may be relied upon by any person interested in the exemption from federal income taxation of the interest on bonds issued by the Corporation to provide financing for owner-occupied residences. 5. That this certificate is limited to the matters expressly stated herein and shall not be construed as an approval of or an opinion with respect to the tax-exempt status of such bonds. In no event shall such bonds consti- tute an indebtedness liability, general, special or moral obligation or a pledge or loan of the faith or credit or taxing power of the Unit or any other governmental unit or political subdivision.
