F. WHEREAS, the Parties desire to more clearly define between themselves, the duties, <br />roles, and relationships with regards to LCRA's role as ERCOT Market Agent and San Marcos's <br />role as ERCOT Market Principal as agreed to in the ERCOT Market Agreement 2001; <br />NOW, THEREFORE, in consideration of the premises and of the mutual covenants and <br />conditions herein set forth, the Parties agree as follows: <br />AR'T'ICLE I. DEFINITIONS AND EXHIBITS <br />1.1. Unless defined elsewhere herein, capitalized terms used in this Agreement shall have the <br />following scope and meaning: <br />1.1.1. ERCOT Protocols — body of procedures developed by ERCOT to maintain the <br />reliability of the regional electric network and account for the production and <br />delivery of electricity among resources and market participants. The procedures, <br />initially approved by the commission, include a revisions process that may be <br />appealed to the commission, and are subject to the oversight and review of the <br />commission. <br />1.1.2. Joint Registration Organization - a single entity which registers for all functions it <br />performs itself and registers on behalf of one or more of its members or related <br />entities for one or more functions for which such members or related entities would <br />otherwise be required to register and, thereby, accept on behalf of such members or <br />related entities all compliance responsibility for all requirements /sub - requirements of <br />reliability standards applicable to that function or those functions including reporting <br />requirements. NERC Critical Infrastructure Protection NERC Reliability Standards CIP -001 -1 <br />through CIP -009 -3 and as they may be amended or supplemented from time to <br />time. <br />1.1.4. NERC Reliability Standards - _requirements approved by the Federal Energy <br />Regulatory Commission under section 215 of the Federal Power Act, to provide <br />for Reliable Operation of the Bulk -Power System. The term includes <br />requirements for the operation of existing Bulk -Power System facilities, including <br />cyber security protection, and the design of planned additions or modifications to <br />such facilities to the extent necessary to provide for Reliable Operation of the <br />Bulk -Power System, but the term does not include any requirement to enlarge <br />such facilities or to construct new transmission capacity or generation capacity. 18 <br />CFR 39.1 <br />1.2.
