terminate this Agreement after serving notice upon the other party in accordance <br />with Article VII. <br />2.2.2.1. The failure or forbearance of a Party which is potentially subject to fines <br />and/or penalties to act immediately or fully to terminate this Agreement <br />shall not act as a waiver of this provision to request future termination. <br />2.2.3. Implementation of any automatic change by either party to the conditions of this <br />Agreement may be cause by either party for termination subject to the <br />consultation process of this Article II. <br />ARTICLE III. OBJECTIVE AND SCOPE <br />3.1. The objective of this Agreement and its Exhibits is to apply the provisions of the current <br />version of the Handbook to the obligations between LCRA and San Marcos resulting from <br />Exhibit A, ERCOT Market Agreement 2001. <br />3.2 Revisions, amendments, updates or supplements ( "Changes ") to the Handbook shall take <br />effect as an amendment this Agreement immediately upon being provided to San Marcos by <br />LCRA. <br />3.2.1. Notice of Changes to the Handbook will be provided to San Marcos, per Article <br />VII, in writing by e -mail prior to implementation. <br />3.2.2. Changes to the Handbook shall be effective immediately upon receipt by San <br />Marcos unless expressly stated otherwise in the transmittal communications or unless <br />notice is provided immediately upon receipt by San Marcos to LCRA that San Marcos <br />does not wish to accept or implement the Changes to the Handbook. <br />3.2.3. Notice by San Marcos to LCRA that it does not wish to accept or implement a <br />Change to the Handbook shall be followed by a consultation as described in Article II, <br />Section 2.2 prior to any action to terminate this Agreement. <br />3.3 It is expressly acknowledged that the Parties may have other agreements related to the <br />operations of their electric systems not expressly provided for herein and such agreements are <br />not intended to be affected by this Agreement. <br />ARTICLE IV. OBLIGATIONS AND DUTIES OF PARTIES <br />4.5. LCRA shall perform as the agent of San Marcos in accordance with the applicable <br />ERCOT Protocols, Guidelines and the ERCOT Market Agreement 2001 or its successor <br />agreement. <br />4.6.
