6. Conduct legal research and provide written memoranda based on such research to the City on legal questions or issues related to the operation and functions of the Civil Service Commission of the City under TEXAS REVISED CIVIL STATUTES, Article 1269m. Such legal questions or issues shall be submitted to the Contractor in writing by only the Mayor or her designee, under the general policy direction of the City Council, and Con- tractor's written memorandum in response shall be submitted by Contractor to the party who originally presented the legal question or issue for research by the Contractor. 7. Provide legal assistance to the City with regard to any litigation which involves the City as a party because of an action or the failure to act of the Civil Service Commission under its functions described and defined in TEXAS REVISED CIVIL STATUTES, Article 1269m. 8. Make a recommendation to the City as to City's employment of additional legal counsel for any litigation arising from a shooting incident as described hereinabove in paragraph 2 or from an action or the failure to act of the civil Service Commission hereinabove mentioned in paragraph 7, if Contractor determines that it is in the best interest of the City to retain additional legal counsel for such litigation. Charles W. Chapman of the Law Office of Charles W. Chapman, referred to in this contract as "Contractor", is a licensed attorney and is possessed of the requisite and professional knowledge to provide the services required and agrees to exert his best efforts and professional skills for the benefit of and use by the City. It is expressly understood and agreed by the parties to this contract that neither Mr. Chapman nor any associate attorney or employee of the Law Office of Charles Chapman is an employee of the City. City shall pay to Contractor on the 2^e day of each month of this contract beginning on June ?.. , 1983, an attorney's fee of ONE THOUSAND DOLLARS ($1,000.00). The combined total of all payments made to Contractor by City under this contract shall neither exceed nor be less than FOUR THOUSAND DOLLARS ($4,000.00), except in the event of early termination of the contract as defined and permitted hereinbelow. It is expressly understood and agreed by both parties hereto that City is contracting with Contractor as an Independent Contractor and that Contractor, as such, agrees to hold the City harmless and to indemnify it from and against any and all claims, demands and causes of action of every kind and character which may be asserted by any third party occurring or in any way incident to, arising out of, or in connection with the services to be performed by Contractor under this contract.
