<br /> 6. Conduct legal research and provide written memoranda <br /> based on such research to the City on legal questions <br /> or issues related to the operation and functions of <br /> the Civil Service Commission of the City under TEXAS <br /> REVISED CIVIL STATUTES, Article 1269m. Such legal <br /> questions or issues shall be submitted to the Contractor <br /> in writing by only the Mayor or her designee, under the <br /> general policy direction of the City Council, and Con- <br /> tractor's written memorandum in response shall be <br /> submitted by Contractor to the party who originally <br /> presented the legal question or issue for research by <br /> the Contractor. <br /> 7. Provide legal assistance to the City with regard to any <br /> litigation which involves the City as a party because of <br /> an action or the failure to act of the Civil Service <br /> Commission under its functions described and defined <br /> in TEXAS REVISED CIVIL STATUTES, Article 1269m. <br /> 8. Make a recommendation to the City as to City's employment <br /> of additional legal counsel for any litigation arising from <br /> a shooting incident as described hereinabove in paragraph 2 <br /> or from an action or the failure to act of the civil Service <br /> Commission hereinabove mentioned in paragraph 7, if Contractor <br /> determines that it is in the best interest of the City to <br /> retain additional legal counsel for such litigation. <br /> Charles W. Chapman of the Law Office of Charles W. Chapman, <br /> referred to in this contract as "Contractor", is a licensed attorney <br /> and is possessed of the requisite and professional knowledge to provide <br /> the services required and agrees to exert his best efforts and <br /> professional skills for the benefit of and use by the City. It is <br /> expressly understood and agreed by the parties to this contract that <br /> neither Mr. Chapman nor any associate attorney or employee of the <br /> Law Office of Charles Chapman is an employee of the City. <br /> City shall pay to Contractor on the 2^e day of each <br /> month of this contract beginning on June ?.. , 1983, an attorney's <br /> fee of ONE THOUSAND DOLLARS ($1,000.00). The combined total of all <br /> payments made to Contractor by City under this contract shall neither <br /> exceed nor be less than FOUR THOUSAND DOLLARS ($4,000.00), except <br /> in the event of early termination of the contract as defined and <br /> permitted hereinbelow. <br /> It is expressly understood and agreed by both parties hereto that <br /> City is contracting with Contractor as an Independent Contractor and <br /> that Contractor, as such, agrees to hold the City harmless and to <br /> indemnify it from and against any and all claims, demands and causes <br /> of action of every kind and character which may be asserted by any <br /> third party occurring or in any way incident to, arising out of, or <br /> in connection with the services to be performed by Contractor under <br /> this contract. <br /> Page 2 of 3 pages <br />
